Rescission, suspension or termina~ion of this Agreement <br />shall constitute fin.l action by the Grantee within the meaning <br />of the Admini9~rative Procedure Act, as amended. Notwithstanding <br />the preceding sentence. any deobligation of funds or other <br />dete~ination by Che Federal Emergency Management Agency shall be <br />adares~ed in accordance with the regul~~lons of chat Agency. <br />E. Upon the rescission, suspension or termination of this <br />Agreement. the Subgrantee shall refund to Grantee all funds <br />dishursed to Subgrantee under this Agreement. <br />F. Notwithstanding anything to the contrary elsewhere in <br />this Agreement, the rescission, suspension or termination of this <br />Agreement by Grantee shall not relieve Subgrancee of liability to <br />Grantee for the restitution of funds udvanccd ~o Subgrantee under <br />this Agreement, and Grantee may 8et off any such funds by <br />withholding future disbursements otherwise due Subgrantee under <br />this Agreement or any o~her Agreement until such time as ~he <br />exact amount of restitution due Grantee from Subgrantce is <br />ae~ermined. In the event the Federal Emergency Management Agency <br />should deobligate funds formerly allowed unde~ this Agreement or <br />under any other Agreement funded by che Agency and administered <br />by Grantee, then Subgrantee shall immediately repay such funds LO <br />Grantee.
