ADDENDUM TO R.S. VALET PARKING AGREEMENT 5tt /J~.-I THIS ADDENDUM, EXECUTED THIS ~ DAY OF ~' 2004, shall be an integral part of the valet parking system agreement. In the event that any terms or conditions contained herein conflict with the basic agreement, the terms and conditions of this addendum shall prevail. 1. INDEMNIFICATION. Contractor agrees to indemnify and hold harmless, the City, its officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other personal entity acting under Contractor's control in connection with the Contractor's performance of services pursuant to said Parking agreement, and to that extent, the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. 2. TERMINATION. The Valet Parking System Agreement may be terminated at any time with or without cause by the City.
