<br />GUARANTY OF LEASE <br /> <br />TH1S GUARANTY OF LEASE is made as of the 8th day of July, 1997, by REPUBLIC <br />INDUSTRJES, mc., a Delaware corporation, whose address is 450 East Las Olas Blvd., Ft. <br />Lauderdale, Florida 33301 Attn: James O. Cole, Esq., General Counsel (the "Guarantor") in favor <br />of MlTSUBISHI MOTOR SALES OF AMERICA, INC., a California corporation ("Landlord"), <br />whose address is 6400 Katella Avenue, Cypress, California 90630-5208, Attention: Corporate Real <br />Estate Department, with a copy to the Legal Department at the same address. <br /> <br />WIT N E SSE T H: <br /> <br />WHEREAS, simultaneously with the execution of this Guaranty of Lease, Landlord and <br />VALUE RENT-A-CAR. INC., a Florida corporation, as Tenant, have entered into that certain Lease <br />Agreement (the "Lease") regarding that certain property described in Exhibit A attached hereto and <br />made a part hereof; <br /> <br />WHEREAS, the Guarantor has requested that Landlord enter into the Lease; <br /> <br />WHEREAS, the Guarantor owns, directly or indirectly, all of the issued and outstanding <br />stock of the Tenant; <br /> <br />WHEREAS, Landlord will not enter into the Lease without the guarantee of the Guarantor <br />as set forth herein; and <br /> <br />WHEREAS, the Guarantor has agreed to unconditionally guarantee the payment and <br />performance of all obligations of Tenant under the Lease. <br /> <br />NOW, TIIEREFORE, in consideration of the premises and the sum ofTen Dollars ($10.00) <br />and other good and valuable consideration, the receipt and adequacy of which are hereby <br />acknowledged, and in 'order to be of material benefit and assistance to Tenant, and in order to induce <br />the Landlord to execute the Lease, Guarantor hereby covenants and agrees with the Landlord as <br />follows: . <br /> <br />1. Each and all of the foregoing recitations are true and correc~ and are hereby <br />incorporated herein by reference and made a part hereof for all purposes. <br /> <br />- 2.
