<br />COMPULlNK MANAGEMENT CENTER,INCLlCENSE AGREEMENT
<br />
<br />This Software License Agreement ("Agreement") is a binding legal agreement between you, the end
<br />user, and Compullnk Management Center, Inc.
<br />
<br />("Compulink") The enclosed Compulink software program ("SOFTWARE") IS licensed by Compulink to
<br />the original customer and any subsequent trans- feree of the SOFTWARE for use only on the terms of
<br />this Agreement. Please carefully read this Agreement. By opening the envelope containing the
<br />SOFTWARE and installing, copying, or otherwise using the SOFTWARE, you accept these terms. if
<br />you do not agree to these terms, DO NOT INSTALL OR USE THE SOFTWARE; you may, however,
<br />return the UNOPENED ENVELOPE containing the SOFTWARE, together with all accompanying written
<br />materials, packaging and proof of purchase, to your SOFTWARE dealer within 30 days of the original
<br />date of purchase for a full refund
<br />
<br />I. GRANT OF LICENSE This Compulink product contains some or all of the following types of
<br />software: (a) "SERVER SOFTWARE" that provides services on a computer called a server, and
<br />"CLIENT SOFTWARE" that allows a computer or workstation to access or utilize the services provided
<br />by the Server Software; (b) "STAND-ALONE SOFTWARE" that operates on a single computer; and (c)
<br />"PLUG-IN SOFTWARE MODULES" that can be added to the previously mentioned SOFTWARE
<br />packages. Compulink grants you a limited, non-exclusive, non-transferable license to use the Server
<br />Software, Client Software, Stand-alone Software, and Plug-in Software Modules (collectively called the
<br />"SOFTWARE") as follows

<br />The CD or dlskette(s) on which the SOFTWARE resides may contain several copies of the SERVER
<br />SOFTWARE, each of which IS compatible with a different operating system. You may Install the
<br />SERVER SOFTWARE for use with only one of those operating systems at any given time You may
<br />install one copy of the SERVER SOFTWARE on a single computer (the computer running the SERVER
<br />SOFTWARE shall be referred to as the "SERVER") If you desire to Increase the number of Client
<br />computers or workstalions which are connected to, have access to, or otherwise utilize the services of
<br />the SERV- ER, you must purchase additional Client Licenses
<br />
<br />II. COPYRIGHT The SOFTWARE is owned by Compulink and is protected by United States copyright
<br />laws and International treaty provisions You must treat the SOFTWARE like any other cOPYrighted
<br />material except you may install the SOFTWARE as expressly authorized by this Agreement and you
<br />may keep the original solely for backup or archival purposes. You may not copy the printed materials
<br />accompanying the SOFTW ARE

<br />III OTHER RESTRICTIONS. You may not sublicense, assign, loan, duplicate, rent, lease, conveyor
<br />otherwise use, transfer, copy, translate, convert to another programming language, alter, modify,
<br />decompile, disassemble or reverse engineer the SOFTWARE, in whole or in part, except as expressly
<br />pro- vided in this Agreement. If you received the SOFTWARE from anyone other than Compulink or an
<br />authorized reseller, or through any other prohibited or illegal means, you may not use the SOFTW ARE
<br />for any purpose whatsoever The SOFTWARE is subject to restrictions and controls imposed by the
<br />United States Export Administration Act and the Export Administration Regulations ("the Acts").You
<br />agree that (i) neither the SOFTWARE nor any prod- uct derived from it is being or will be used for any
<br />purpose prohibited by the Acts; (ii) neither you nor any controlling pnncipal, director, officer, manager or
<br />employee of yours are citizens or permanent residents of any of the countries currently subject to a
<br />trade embargo under the Acts; and (iii) you will not sell, market or distribute, directly or indirectly, the
<br />SOTW ARE or any product derived from it to any national or permanent resident of any country specially
<br />designated by the US Treasury, Commerce or State Departments to which export of such goods is
<br />prohibited You shall strictly comply with the Acts and obtain all reqUired export licenses
<br />
