Customer shall receive written <br />authorization from SunGard before attaching to the computer system any equipment not supplied <br />or approved by SunGard. Authorization shall not be withheld unless said equipment, in SunGard's <br />reasonable judgment, will cause operational damage to the system, or require undue system support <br />from SunGard. <br /> <br />Customer acknowledges that the systems supplied by SunGard have unique operating prope11ies <br />and are a matched system of components which must not be altered, modified, or tampered with <br />without specific assistance from SunGard designated personnel. SunGard shall not be liable for any <br />damage or loss of function which results from violating the approved operating environment by <br />personnel not approved by SunGard: <br /> <br />In the event of the failure of any hardware component or other third party product supplied under <br />this Agreement to function or operate in conformance with specifications, SunGard shall have no <br />obligation for warranty beyond that of the hardware or other third party manufacturer or that <br />specified in the Supplement(s). <br /> <br />Appointment of Customer Representative. Customer will fully cooperate with and assist SunGard <br />in the performance of its responsibilities under this Agreement. As part of Customer's <br />responsibilities, it will make available to SunGard a qualified staff member, Customer's <br />representative, who will have authority to act for Customer and to make binding decisions with <br />respect to this Agreement, including any modifications hereto, and provide SunGard with necessary <br />infOlmation and data concerning Customer's operations and activities, and assume responsibility for <br />the accuracy of such information and data supplied, and provide access to Customer's computer <br />facility with prior reasonable notice, and have the authority to enforce implementation decisions <br />which are mutually agreed to by Customer and SunGard. <br /> <br />Customer is responsible for selecting a system administrator who is qualified to operate the <br />Licensed Program(s) on Customer's own equipment and is familiar with the information, <br />calculations, and reports that serve as input and output of the Licensed Program(s). <br /> <br />VII. PROTECTION AND SECURITY OF PROPRIETARY MATERIALS <br /> <br />The Customer acknowledges that the Licensed Program(s), including, but not limited to, the source <br />code, design specifications and associated documentation of the Licensed Program(s), (the <br />"SunGard Proprietary InfOlmation") constitute proprietary information and trade secrets of <br />SunGard and will remain the sole property of SunGard. Customer is prohibited from reverse <br />engineering, reverse assembling and reverse compiling the Licensed Program(s), in whole or in <br />part. The Customer agrees that it shall not at any time sell, assign, transfer or otherwise make <br />available to, or allow use by, a third party any of the SunGard Proprietary Information. The <br />Customer shall hold in confidence the SunGard Proprietary Information for its benefit and internal <br />use only by its employees.
