<br />"YOUR PROGRAM INVESTMENT", on pages 8-9 of the attached Exhibit "A". The term of
<br />this Agrcement shall be for one (1) year, with the City's option to renew this Agreemcnt for two
<br />(2), one-year terms. In the event the City elects to exercise its option to renew this Agreement,
<br />Contractor agrces to honor the same price term of Twenty-One Thousand Seven Hundred and
<br />Eighty-Nine Dollars and Five Cents (S21,759.05).

<br />The City shall only be obligated to compensate Contractor for Services rendered. The
<br />Contractor shall make no other charges to the City for supplies, labor, liccnses, pel111its, overhead
<br />or any other expenses or costs unless any such expense or cost is incurred by Contractor with the
<br />prior written approval of the City. If the City disputes any charges on the invoices, it may make
<br />paymcnt of the uncontested amounts and withhold payment on the contested amounts until they
<br />are resolved by agreement with Contractor.
<br />
<br />B. In accordance with Section 62-6(B) of the City of Sunny Isles Beach Code, the total
<br />amount of compcnsation for the Services or Additional Services shall not exceed $10,000.
<br />However, in the event that the total charge by the Contractor approaches that amount, in
<br />accordance with the City Manager shall require an approval by the City Commission for such
<br />expenditures

<br />4. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions are discovered
<br />during the performance of this Agreement, the City shall have the right to cancel this Agreement upon
<br />thirty (30) days written notice to contractor. Upon termination, the City may re-bid the project if the
<br />contractor fails to perfoml under this Agreement due to the undisclosed conditions.

<br />5. INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work being
<br />perfol111ed under this Agreement, procure and maintain the following minimum insurance coverage to
<br />protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its
<br />agents, contractors or employees, as more particularly set forth below:

<br />Comprehensive General liability insurance, including broad fOlm contractual liability
<br />coverage for all operations, including, but not limited to, contractual, products, and
<br />completed operations, personal injury and property damage liability with minimum
<br />limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars
<br />($2,000,000) aggregate.

<br />Worker's Compensation, as required by law, but with no less than S I ,000,000 for

<br />Business Automobile Liability which shall include coverage for all owned, non-

<br />bodily injUlY and Five Hundred Thousand Dollars (S500,000) per accident for
<br />propel1y damage.
