Milton & Associates (the "Buyer"). The Buyer owns all property abutting our client's property and is in the process of developing the St. Tropez Project. Under the terms of our Contract, the transaction was required to close on or before September 13, 2006, but the seller is required to satisfy certain conditions prior to the closing, including the termination of an old drainage casement created in favor of Miami-Dade Countv. Florida in 1966. The parties have agreed to extend the closing date to September 22, 2006, which is why the termination of this easement is urgent. Keep in mind that we confirmed with the County that it has not done anything with this easement for years and of course it no longer handles drainage within the city limits of Sunny Isles Beach. Accordingly, the City has succeeded to the interest of the County as it relates to this easement but in fact it has been dormant for many years and as you know the property has been unoccupied for quite some time. The good news is that this will change soon if the property can be conveyed to the Buyer as contemplated by the Contract, who {FT341932;1}
