<br />City of Sunny Isles Beach <br /> <br />18070 Collins Avenue, Sunny Isles Beach, Florida 33160 <br />(305) 947-0606 phone (305) 949-3113 Fax <br /> <br />(b) The City of Sunny Isles Beach may purchase additional copies of the Book at a <br />discount of Fifty Percent (50%) of the retail price of Twenty-one Dollars and <br />Ninety-nine Cents ($21.99) for any order of one hundred (100) copies or more <br />copies of the Book. <br /> <br />(c) For orders of fewer than One hundred (100) copies the Publisher's trade terms <br />will apply. Payment of said compensation shall be made upon receipt of proper <br />invoice from the Publisher. If the City disputes any charges on the invoices, it <br />may make payment of the uncontested amount and withhold payment on the <br />contested amounts until they are resolved by agreement between the parties. <br /> <br />(d) For purposes of purchasing additional copies of the Book, this Section shall <br />survive the termination clause. <br /> <br />6. Copvri2ht, Patent, Trademark. <br /> <br />(a) Publisher agrees that all work performed under this Agreement shall comply with <br />all applicable patent, trademark and copyright laws, rules, regulations and codes. <br />The Publisher further agrees that the book will not utilize any protected patent, <br />trademark or copyright unless the Publisher has obtained proper permission and <br />all releases and other necessary documents. <br /> <br />(b) I f the Publisher uses any protected material, process or procedure, the Publisher <br />shall disclose such patent, trademark or copyright in the Book. <br /> <br />7. Independent Contractor. Except as expressly provided for in this Agreement, Publisher <br />is not authorized to act as the City's Agent hereunder and shall have no authority, expressed or <br />implied, to act for or bind the City hereunder, either in Publisher's relations with sub- <br />Consultants, or in any other manner whatsoever. <br /> <br />8. Use of City Seal. Publisher shall not use the name or official seal of the City in any <br />promotional material without the prior written consent of the City. <br /> <br />9. Assi2nment. The rights of each party under this Agreement are personal to that party and <br />may not be assigned or transferred to any other person, firm, corporation, or other entity without <br />the prior, expressed, and written consent of the other party. <br /> <br />10. Indemnification.
