CITY OF SUNNY ISLES BEACH AND XEROX CORPORATION SERVICE AGREEMENT CONTRACT NO: C0708-016 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in triplicate, this _ day of November, 2007, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and XEROX CORPORATION, (hereinafter referred to as "Contractor "). RECIT ALS WHEREAS, the City of Sunny Isles Beach is in need of a contractor to provide the lease and maintenance of Xerox copy/scan machines ("Services"); and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, Putnam County, Florida issued Request for Bid Number 97-2 and awarded a contract to Contractor to provide such services; and WHEREAS, the City desires to enter into an agreement with Contractor, using the County of Putnam's bid information on file with the City Clerk, and attachment "A", subject to the terms and conditions contained herein; and WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county or other governmental contracts, or competitive bids with other governmental agencies are exempt from the City's competitive bidding procedures; and WHEREAS, the City wishes to contract with Contractor to provide the desired Services as more particularly described in Attachment "A" for a total amount not to exceed Eighty Six Thousand Eight Hundred Seventy Two Dollars and Sixty Eight Cents ($86,872.68) for a Thirty- six (36) month term. NOW THEREFORE, in cQnsideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. SERVICES.
