<br />and other factual unit costs. The Owner and the Architect-Engineer agree that all such <br />adjustments in compensation shall be made within one year following completion of the <br />services covered by this Agreement. <br /> <br />16.5 Public Entity Crime Information Statement: <br /> <br />"A person or affiliate who has been placed on the convicted vendor list following a <br />conviction for a public entity crime may not submit a bid on a contract to provide any <br />goods and services to a public entity, may not submit a bid on a contract with a public <br />entity, for the construction or repair of a public building or public work, may not submit <br />bids on leases of real property to a public entity, may not be awarded or perform work as <br />a contractor, supplier, subcontractor, or consultant under a contract with any public <br />entity, and may not transact business with any public entity in excess of the threshold <br />amount provided in Section 287.017, for CATEGORY TWO for a period of 36 months <br />from the date of being placed on the convicted vendor list." <br /> <br />16.6 Unauthorized Aliens: <br /> <br />The City shall consider the employment by any contractor of unauthorized aliens a <br />violation of section 274A(e) of the Immigration and Nationalization Act. Such violations <br />shall be cause for unilateral cancellation of this contract. <br /> <br />16.7 Indemnification and Waiver of Liability: <br /> <br />The Architect-Engineer agrees, to the fullest extent permitted by law, to defend, <br />indemnify and hold harmless the Owner, its agents, representatives, officers, directors, <br />officials and employees from and against claims, damages, losses and expenses <br />(including but not limited to attorney's fees, arbitration costs, and costs of appellate <br />proceedings) relating to, arising out of or resulting from the Architect-Engineer's <br />negligent acts, errors, mistakes or omissions relating to professional services in the <br />performance of this Agreement. <br /> <br />The Architect-Engineer's duty to defend, hold harmless and indemnify the Owner, its <br />agents, representatives, officers, directors, officials and employees shall arise in <br />connection with any claim, damage, loss or expense that is attributable to bodily injury; <br />sickness; disease; death; or injury to impairment, or destruction of tangible property; <br />caused by any negligent acts, errors, mistakes or omissions related to professional <br />services in the performance of this Agreement including any person for whose acts, <br />errors, mistakes or omissions the Architect-Engineer may be legally liable. <br /> <br />The parties agree that ONE HUNDRED DOLLARS ($100.00) represents specific <br />consideration to the Architect-Engineer for the indemnification set forth in this <br />Agreement. <br /> <br />19 <br />C0708-026 Spillis Candcla & Partncrs.
