The Owner and the Architect-Engineer agree that all such adjustments in compensation shall be made within one year following completion of the services covered by this Agreement. 16.5 Public Entity Crime Information Statement: "A person or affiliate who has been placed on the convicted vendor list following a conviction for a public entity crime may not submit a bid on a contract to provide any goods and services to a public entity, may not submit a bid on a contract with a public entity, for the construction or repair of a public building or public work, may not submit bids on leases of real property to a public entity, may not be awarded or perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017, for CATEGORY TWO for a period of 36 months from the date of being placed on the convicted vendor list." 16.6 Unauthorized Aliens: The City shall consider the employment by any contractor of unauthorized aliens a violation of section 274A(e) of the Immigration and Nationalization Act. Such violations shall be cause for unilateral cancellation of this contract. 16.7 Indemnification and Waiver of Liability: The Architect-Engineer agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless the Owner, its agents, representatives, officers, directors, officials and employees from and against claims, damages, losses and expenses (including but not limited to attorney's fees, arbitration costs, and costs of appellate proceedings) relating to, arising out of or resulting from the Architect-Engineer's negligent acts, errors, mistakes or omissions relating to professional services in the performance of this Agreement. The Architect-Engineer's duty to defend, hold harmless and indemnify the Owner, its agents, representatives, officers, directors, officials and employees shall arise in connection with any claim, damage, loss or expense that is attributable to bodily injury; sickness; disease; death; or injury to impairment, or destruction of tangible property; caused by any negligent acts, errors, mistakes or omissions related to professional services in the performance of this Agreement including any person for whose acts, errors, mistakes or omissions the Architect-Engineer may be legally liable.
