<br />reasonable objection, nor will the Contractor be required to employ any Sub-Contractor who has <br />been accepted by the City, unless the City determines that there is good cause for doing so. <br /> <br />1.10.2. The Contractor shall be fully responsible for all acts and omissions of their Sub-Contractors and <br />of persons and organizations directly or indirectly employed by them and of persons and <br />organizations for whose acts any of them may be liable to the same extent that they are <br />responsible for the acts and omissions of persons directly employed by them. Nothing in this <br />Agreement shall create any contractual relationship between City or Contractor and any Sub- <br />Contractor or other person or organization having a direct contract with Contractor, nor shall it <br />create any obligation on the part of City to payor to see to payment of any persons due any <br />Sub-Contractor or other person or organization, except as may otherwise be required by law. <br />City may furnish to any Sub-Contractor or other person or organization, to the extent <br />practicable, evidence of amounts paid to the Contractor on account of specified work done in <br />accordance with the schedule values. <br /> <br />1.10.3. The divisions and sections of this Agreement or the Contractor's Services Proposal shall not <br />control the Contractor in dividing the work among Sub-Contractors or delineating the work <br />performed by any specific trade. <br /> <br />1.10.4. The Contractor agrees to bind specifically every Sub-Contractor to the applicable terms and <br />conditions of this Agreement, including the Contractor's Services Proposal, for the benefit of <br />the City. <br /> <br />1.10.5. All work performed for the Contractor by a Sub-Contractor shall be pursuant to an appropriate <br />agreement between the Contractor and the Sub-Contractor. <br /> <br />1.10.6. The Contractor shall be responsible for the coordination of the trades, Sub-Contractors and <br />material and men engaged upon their work: <br /> <br />1.10.6.1. The Contractor shall cause appropriate proVISIons to be inserted in all <br />subcontracts relative to the work to bind Sub-Contractors to the Contractor by the terms of this <br />Agreement, and the Contractor's Services Proposal, insofar as applicable to the work of Sub- <br />Contractors, and give the Contractor the same power as regards to terminating any subcontract <br />that the City may exercise over the Contractor under any provisions of this Agreement, and the <br />Contractor's Services Proposal. <br /> <br />1.10.6.2. The City will not undertake to settle any differences between the Contractor and <br />their Sub-Contractors or between Sub-Contractors. <br /> <br />1.10.6.3. If in the opinion of the City, any Sub-Contractor on the Project proves to be <br />incompetent or otherwise unsatisfactory, they shall be promptly replaced by the Contractor if <br />and when directed by the City in writing. <br /> <br />1.11. LAWS AND REGULATIONS: The Contractor shall give all notices and comply with all laws, <br />ordinances, rules and regulations in connection with this Agreement.
