<br />performed by the City including, but not limited to, assisting the City to locate each <br />violator so that any ordered reimbursement may be made. <br /> <br />10.4 Notice of Claims. If the City or Vendor receives notice of any claim or <br />circumstances which may give rise to an indemnified loss under this Section 10, the <br />receiving party shall give written notice to the other party within ten (10) days of receipt. <br />The notice must include the following: <br /> <br />(a) a description of the indemnification event in reasonable detail, <br /> <br />(b) the basis on which indemnification may be due, and <br /> <br />(c) the anticipated amount of the indemnified loss. <br /> <br />This notice does not estop or prevent the City from later asserting a different basis <br />for indemnification or a different amount of indemnified loss than that indicated in <br />the initial notice. If the City does not provide this notice within the ten (10) day <br />period, it does not waive any right to indemnification except to the extent that <br />Vendor is directly prejudiced, suffers loss, or incurs expense because of the delay. <br /> <br />11.0 Independent Contractor. This Agreement does not create an employee/employer <br />relationship between the parties. It is the intent of the parties that the Vendor is an independent <br />contractor under this Agreement and not the City's employee for all purposes, including but not <br />limited to, the application of the Fair Labor Standards Act minimum wage and overtime <br />payments, Federal Insurance Contribution Act, the Social Security Act, the Federal <br />Unemployment Tax Act, the provisions of the Internal Revenue Code, the State Workers <br />Compensation Act, and the State unemployment insurance law. The Vendor shall retain sole and <br />absolute discretion in the judgment of the manner and means of carrying out Vendor's activities <br />and responsibilities hereunder provided, further that administrative procedures applicable to <br />services rendered under this Agreement shall be those of Vendor, which policies of Vendor shall <br />not conflict with City, or United States policies, rules or regulations relating to the use of <br />Vendor's funds provided for herein. The Vendor agrees that it is a separate and independent <br />enterprise from the City, that it has full opportunity to find other business, that it has made its <br />own investment in its business, and that it will utilize a high level of skill necessary to perform <br />the work. This Agreement shall not be construed as creating any joint employment relationship <br />between the Vendor and the City and the City will not be liable for any obligation incurred by <br />Vendor, including but not limited to unpaid minimum wages and/or overtime premiums. <br /> <br />12.0 Assignments; Amendments. This Agreement, or any interest herein, shall not be assigned, <br />transferred or otherwise encumbered, under any circumstances, by either party, including without <br />limitations purchases of controlling interest in Vendor or merger, without the prior written consent <br />of the other party. <br /> <br />It is further agreed that no modification, amendment or alteration in the terms or conditions <br />contained herein shall be effective unless contained in a written document executed with the <br />same formality and of equal dignity herewith. <br /> <br />Page 13 of 31 <br />
