<br />AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br />AND.AMERICAN TRAFFIC SOLUTIONS FOR <br />TRAFFIC SAFETY CAMERA PROGRAM <br /> <br />This Agreement (this "Agree!p~lt') is 7Aade as of this _ day of July, 2008 by and between <br />American Traffic Solutions, J!eC., a Dela~J~ Corporation, licensed to do business in Florida, <br />with offices at 7681 East Gray Road Scottsdale, Arizona 85260 ("Vendor"), and the City of <br />Sunny Isles Beach, a Florida municipality, with an address at 18070 Collins A venue, Sunny Isles <br />Beach, Florida 33160 (the "City"). <br /> <br />RECIT ALS <br /> <br />WHEREAS, Vendor has exclusive knowledge, possession and ownership of certain equipment, <br />licenses, applications, and Notice of Infraction processes related to the digital photo red light <br />enforcement systems provided by Vendor pursuant to this Agreement; and <br /> <br />WHEREAS, the City Commission adopted Ordinance ~mS-j11 which authorizes the City's <br />Traffic Safety Camera Program (TSCP) and provides for the implementation and operation of <br />such; and, <br /> <br />WHEREAS, the City wishes to award the contract to Vendor under Section 62-13 of the City's <br />Code of Ordinances, which authorizes the City to purchase services under a contract of another <br />governmental agency or municipality that was awarded pursuant to competitive bids based on <br />clearly defined specifications, and the instant contract is substantially in the form of the contract <br />issued to the vendor by the City of A ventura, Florida pursuant to a competitive bid, specifically <br />RFQ # 08 11 13 2, based on clearly defined specifications, and <br /> <br />NOW THEREFORE, in consideration of the mutual covenants contained herein, and for other <br />valuable consideration received, the receipt and sufficiency of which are hereby acknowledged, <br />the parties agree as follows: <br /> <br />AGREEMENT <br /> <br />1.0 Definitions. All definitions set forth in Ordinance are incorporated herein. In addition, <br />the following words and phrases shall have the following meanings in this Agreement: <br /> <br />1.1. "Authorized Employee" means the Traffic Control Infraction Review Officer, whose <br />duties and qualifications are set forth in the City Ordinance. <br /> <br />1.2. "Authorized Infraction" means each Potential Infraction in the Infraction Data for which <br />authorization to issue a Notice of Infraction in the form of an Electronic Signature is <br />given by the Authorized Employee by using the Vendor System. <br /> <br />1.3. "City Ordinance" means Ordinance, as may be amended from time to time. <br /> <br />Exhibit "A" <br />
