<br />Vendor within 14 days of the execution of this Agreement or such person as Vendor shall <br />designate by providing written notice thereof to the City from time to time, who shall be <br />responsible for overseeing the construction and installation of the Designated <br />Intersections and the implementation the TSCP, who shall have the power and authority <br />to make management decisions relating to Vendor's obligations pursuant to this <br />Agreement, including but not limited to change-order authorizations. <br /> <br />1.24. "Traffic Safety Camera Program" means, collectively, the TSCP provided by Vendor and <br />all of the other equipment, applications, back office processes and digital red light traffic <br />enforcement cameras, sensors, components, products, software and other tangible and <br />intangible property relating thereto. <br /> <br />1.25. "Traffic Safety Camera Program" means the process by which the monitoring, <br />identification and enforcement of Infractions of the Red Zone Infractions is facilitated by <br />the use of certain equipment, applications and back office processes of Vendor, including <br />but not limited to cameras, flashes, central processing units, signal controller interfaces <br />and sensor arrays which, collectively, are capable of identifying Infractions and recording <br />such Infraction data in the form of photographic images of motor vehicles. <br /> <br />1.26. "Photo Red Light Infraction Criteria" means the standards and criteria by which Potential <br />Infractions will be evaluated by Authorized Employees of the City, which standards and <br />criteria shall include, but are not limited to, the definition of a Red Zone Infraction set <br />forth in the City Ordinance, relying upon the duration of time that a traffic light must <br />remain red prior to an Infraction being deemed to have occurred, and the location(s) in an <br />intersection which a motor vehicle must pass during a red light signal prior to being <br />deemed to have committed a Infraction, all of which shall be in compliance with all <br />applicable laws, rules and regulations of Governmental Authorities. <br /> <br />1.27. "Traffic Signal Controller Boxes" means the signal controller interface and detector, <br />including but not limited to the radar or video loop, as the case may be. <br /> <br />1.28. "Warning Period" means the period of ninety (90) days after the effective date of the <br />Ordinance authorizing the City's Traffic Safety Camera Program. <br /> <br />2.0 Term. The term of this Agreement shall commence as of the date hereof and shall <br />continue for a period of five (5) years after the date of the first paid notice from the first <br />installed System (the "Initial Term"). The City shall have the right, but not the <br />obligation, to extend the term of this Agreement for up to two (2) additional, five (5) year <br />periods following the expiration of the Initial Term (each, a "Renewal Term" and <br />collectively with the Initial Term, the "Term"). The City may exercise the right to extend <br />the term of this Agreement for a Renewal Term by providing written notice to Vendor <br />not less than sixty (60) days prior to the last day of the Initial Term or the Renewal Term, <br />as the case may be. <br /> <br />3.0 Services. Vendor shall provide the TSCP to the City, in each case in accordance with the <br />terms and provisions of the Ordinance. <br /> <br />Page 5 of31 <br />
