<br />COMMERCIAL PREPAID CARD CREATION <br />All Commercial Prepaid Cards shall identify us as the issuer and shall include such other <br />names and trademarks as we require. If you elect to customize the Commercial Prepaid <br />Cards, you will be responsible for any additional costs in the design or production of the <br />Commercial Prepaid Cards. You will provide graphics, promotional material and wording to us <br />for review and approval and you must comply with all the rules of Visa USA, Ine. and other <br />systems or organizations, as applicable. You will allow us to use your artwork on the <br />Commercial Prepaid Cards, provided that you shall have first reviewed and approved such <br />use. You will indemnify and hold us harmless from any and all liabilities, claims, costs, <br />expenses and damages of any nature (including Legal Expenses) arising from any claim that <br />the artwork you supplied infringes the intellectual property rights of any third party. <br /> <br />COMMERCIAL PREPAID CARD ACTIVATION <br />Each Cardholder will be instructed to call a toll-free (in the U.S.A.) number and use an <br />interactive voice response system to authenticate the Cardholder by using a number unique <br />to the Cardholder in order to activate the Commercial Prepaid Carel. During this call, the <br />Cardholder will receive their PIN, if applicable. The Cardholder can change the PIN at that <br />time to any four digit number. Once the call is successfully completed, the Commercial <br />Prepaid Card will be activated. You will be responsible for infonning each Cardholder of any <br />other restrictions you may impose on the use of the Commercial Prepaid Card, and we will <br />not have any responsibility for enforcing those restrictions. <br /> <br />COMMERCIAL PREPAID CARD USAGE <br />We may refuse to issue or add value to any Commercial Prepaid Card if we believe the <br />Commercial Prepaid Card will or may be used in violation, or may cause us to be in violation, <br />of any law or regulation, or any l1lle of any payment system. <br /> <br />We will use reasonable efforts to prevent any overdraft with respect to a Commercial Prepaid <br />Card or any unauthorized use of a Commercial Prepaid Card, but cannot ensure we will be <br />able to do so. You will reimburse us for the amount of any overdraft or for the amount of any <br />loss resulting from such unauthorized use. <br /> <br />The value amount on any Commercial Prepaid Card does not constitute a deposit account, is <br />not insured by the Federal Deposit Insurance Corporation or any other government agency, <br />and does not acCl1le interest for your benefit or the benefit of the Cardholder. <br /> <br />CONTROLLED BALANCE ACCOUNTS <br /> <br />Our Controlled Balance Accounts Services let you control the transfer of funds between <br />accounts with us. These Services may be restlicted to certain account types. <br /> <br />Transfers you make from a u.S.-domiciled money market account using these Services are <br />considered preauthorized transfers, are counted toward the number of transactions you are <br />legally pennitted each month, and may not be made to a checking account with an overdraft <br />credit facility. <br /> <br />AD-AG-0455B (2004-2) <br /> <br />23 <br />
