<br />You may not electronically distribute the Image CD-ROM Software to any workstation other <br />than the one for which such Software is originally installed on your site. <br /> <br />Notwithstanding anything to the contrary in the TelTIunation section of this Booklet, if a <br />Disbursement Image Service under which we provide you with CD-ROMs is terminated for a <br />reason other than your breach of this Software License section, you may continue to use <br />the Software for such Selvice after termination of such Service for six months, or for such <br />longer period as we approve, subject to the terms of this Software License section or such <br />other software license agreement as we, at our election, require you to sign for this purpose. <br />At the end of such six-month or longer period, the license for your use of the Software for <br />such Disbursement Image Service will then terminate automatically. <br /> <br />SUPPLEMENTAL IMAGE (POSITIVE PAY) SOFIW ARE UCENSE PROVISIONS <br />This subsection supplements this Software License section with respect to Software we <br />provide you for the Image Positive Pay Service and shall control in the event of conflict <br />between it and the balance of the Software License section. <br /> <br />You may not electronically distribute the CCR (C Compression Routines) Software for <br />Windows 3.1 provided to you in connection with the Image Positive Pay Service to any <br />workstation other than the one for which such Software is oliginally installed on your site. <br /> <br />TERMINATION <br /> <br />Either you or we may terminate any or all Services upon 30 (60 in the case of Corporate Card <br />Services) calendar days pl'ior written notice to the other party. Notwithstanding the <br />foregoing sentence, we may terminate any or all Services effective immediately, and we will <br />send you notice of the termination, if any of the following occurs: <br /> <br />· You breach any of the terms and conditions in this Booklet or any other agreement <br />with us; <br /> <br />· You terminate, liquidate or dissolve your business or dispose of a substantial portion <br />of your assets; <br /> <br />. You fail generally to pay your debts as they become due; <br /> <br />· You, voluntarily or involuntarily, become the subject of any bankruptcy, insolvency, <br />reorganization or other similar proceeding; <br /> <br />· You initiate any composition with your creditors; <br /> <br />· You experience a material adverse change in your financial condition or your ability to <br />perform your obligations under the terms and conditions in this Booklet; or <br /> <br />· Any guaranty of your obligations to us terminates, is revoked or its validity is contested <br />by the guarantor, or any of the events set forth in the above five bullet points <br />attributable to you occur to the guarantor. <br /> <br />If a Service you are using is terminated for any reason, you will do the following: <br /> <br />· Immediately stop using any Materials relating to the terminated Service; <br /> <br />· Erase or delete any Software we have provided relating to the terminated SelVice to <br />the extent it is stored in your computers; and <br /> <br />· At our option, either return to us or destroy all Materials relating to the <br />terminated Service and certify to us that you have done so. <br /> <br />AD-AG-0455B (2004-2) 65 <br />
