S T ERN I B LOO M media Sunny Isles Beach 2010 Editions (Mav & November) City Guide ("SIB 2010") Publishing Agreement This Publishing Agreement is made and entered into as of the 16 day of December, 2009, by and between Stern Bloom Media, Inc., a Florida corporation ("Publisher") and the City of Sunny Isles Beach ("City"). Term. This agreement is for two (2) issues. The term of this agreement shall commence on the effective date and end on the publication date. Publishing Fee. City shall pay Publisher the amount of twenty-five thousand ($25,000) dollars for the foregoing services to include, production and printing. Payment. Payment in full of publishing fee ($12,500 per issue) shall be due to Publisher on February 1 st 2010 and August 1 st 2010. Estimated Publication Specifications (subject to change) Page Count: 84 pages (50% editorial / 50% advertising) Quantity: 30,000 copies Dimensions: 8.635" x 10.375" Paper: Cover: Coated 7 Point; Text: 50lb Coated Colors: Full-color throughout Publish Date: May 2010 and November 2010 Publisher's Obligations. o Editorial Content (see proposed schedule attached) Publisher is responsible for editorial content. Publisher reserves the right to edit editorial submitted to Publisher by City. o Graphic Design Publisher is responsible for the design, layout and mapping of the city guide. o Marketing Efforts Publisher will be responsible for marketing efforts. o Advertising Sales Publisher will be responsible for all advertising sales efforts. o Pre-Production Publisher is responsible for all aspects of pre-production. o Production Publisher is responsible for all aspects of production, including, but not limited to the procurement, management, and facilitation of paper and printing contracts. 1 ATTACHIVIENT "A"
