<br />ARTICLE I <br /> <br />DEFINITIONS <br /> <br />Unless the context or use indicates another meaning or intent, the following words and terms <br />as used in this Loan Agreement shall have the following meanings, and any other hereinafter defined, <br />shall have the meanings as therein defined. <br /> <br />"Accountant" or "Accountants" means an independent certified public accountant or a firm of <br />independent certified public accountants. <br /> <br />"Accounts" means the accounts created pursuant to Section 4.02 ofthe Indenture. <br /> <br />"Act" means, collectively, to the extent applicable to the Borrower, Chapter 163, Part I, <br />Florida Statutes, Chapter 166, Part n, Florida Statutes, and Chapter 125, Part I, as amended, and all <br />other applicable provisions of law. <br /> <br />"Additional Payments" means payments required by Section 5.03 hereof. <br /> <br />"Alternate Surety Bond" means any letter of credit or surety bond obtained to replace the <br />Surety Bond then in effect pursuant to the Indenture. <br /> <br />"Alternate Surety Bond Provider" means any provider of an Alternate Surety Bond. <br /> <br />"Arbitrage Regulations" means the income tax regulations promulgated, proposed or <br />applicable pursuant to Section 148 of the Code as the same may be amended or supplemented or <br />proposed to be amended or supplemented from time to time. <br /> <br />"Authorized Representative" means, when used pertaining to the Council, the Chairman of <br />the Council and such other designated members, agents or representatives as may hereafter be <br />selected by Council resolution; and, when used with reference to a Borrower which is a municipality, <br />means the person performing the functions of the Mayor or Deputy, Acting or Vice Mayor thereof or <br />other officer authorized to exercise the powers and performs the duties of the Mayor; and, when used <br />with reference to a Borrower which is a County means the person performing the function of the <br />Chairman or Vice Chairman of the Board of County Commissioners of such Borrower; and, when <br />used with reference to an act or document, also means any other person authorized by resolution to <br />perform such act or sign such document. <br /> <br />"Basic Payments" means the payments denominated as such in Section 5.01 hereof. <br /> <br />"Board" means the governing body of the Borrower. <br /> <br />"Bond Counsel" means Bryant, Miller and Olive, P.A., Tampa, Florida or any other <br />nationally recognized bond counsel. <br /> <br />3 <br />
