<br />"Loan Agreement" or "Loan Agreements" means this Loan Agreement and any amendments <br />and supplements hereto. <br /> <br />"Loan Repayment Date" means , and thereafter each 20th and <br />20th, or if such day is not a Business Day, the next preceding Business Day. <br /> <br />"Loan Repayments" means the payments of principal and interest and other payments payable <br />by the Borrower pursuant to the provisions ofthis Loan Agreement, including, without limitation, <br />Additional Payments. <br /> <br />"Loan Term" means the term provided for in Article N of this Loan Agreement. <br /> <br />"Moody's" means Moody's Investors Service, a corporation organized and existing under the <br />laws of the State of Delaware, its successors and assigns, and, if such corporation shall be dissolved <br />or liquidated or shall no longer perform the functions of a securities rating agency, "Moody's" shall <br />be deemed to refer to any other nationally recognized securities rating agency designated by the <br />Council, with the approval ofthe Bond Insurer, by notice to the Trustee. <br /> <br />"Non-Ad Valorem Revenues" means all revenues and taxes ofthe Borrower derived from any <br />source whatever other than ad valorem taxation on real and personal property, which are legally <br />available for Loan Repayments. <br /> <br />"Opinion of Bond Counsel" means an opinion by Bond Counsel which is selected by the <br />Council and acceptable to the Trustee. <br /> <br />"Opinion of Counsel" means an opinion in writing of a legal counsel, who may, but need not <br />be, counsel to the Council, a Borrower or the Trustee. <br /> <br />"Outstanding Bonds" or "Bonds Outstanding" means all Bonds which have been <br />authenticated and delivered by the Trustee under the Indenture, except: <br /> <br />( a) Bonds canceled after purchase in the open market or because of payment at or <br />redemption prior to maturity; <br /> <br />(b) Bonds deemed paid under Article IX of the Indenture; and <br /> <br />(c) Bonds in lieu of which other Bonds have been authenticated under Section <br />2.06, 2.07 or 2.09 ofthe Indenture. <br />"Person" means an individual, a corporation, a partnership, an association, a trust or any other <br />entity or organization including a government or political subdivision or an agency or instrumentality <br />thereof. <br /> <br />"Principal Fund" means the fund by that name created by Section 4.02 of the Indenture. <br /> <br />7 <br />
