<br />(f) An opinion (addressed to the Council, the Trustee, the Bond Insurer and the <br />Borrower) of Bond Counsel to the effect that such financing, refinancing or reimbursement with <br />Loan proceeds is permitted under the Act, the Indenture and the resolution authorizing this Loan <br />Agreement and will not cause the interest on the Bonds to be included in gross income for purposes <br />of federal income taxation or adversely affect the validity, due authorization for or legality of the <br />Bonds; and <br /> <br />(g) Such other certificates, documents, opinions and information as the Council, the Bond <br />Insurer, the Trustee or Bond Counsel may require, such requirement to be evidenced (in the case of <br />parties other than the Trustee) by written notice of such party to the Trustee of such requirement. <br /> <br />All opinions and certificates shall be dated the date ofthe Closing. <br /> <br />19 <br />
