<br />EXHIBIT A <br /> <br />Form of Annual Report Certificate <br /> <br />The undersigned duly appointed and acting City Manager of the City of <br />Florida, a Florida municipal corporation, as Borrower under the Continuing Disclosure Agreement <br />(hereinafter described) (the "Borrower"), hereby certifies on behalf of the Borrower pursuant to the <br />Continuing Disclosure Agreement dated as of , 2002 (the "Continuing Disclosure <br />Agreement") executed and delivered by the Borrower and accepted by Florida League of Cities, <br />Inc., as Dissemination Agent (the "Dissemination Agent"), as follows: <br /> <br />1. Definitions. Capitalized terms used but not defined herein shall have the meanings <br />ascribed thereto in the Continuing Disclosure Agreement. <br /> <br />2. Annual Report. Accompanying this Annual Report Certificate is the Annual Report <br />for the Fiscal Year ended <br /> <br />3. Compliance with Continuing Disclosure Agreement. The Annual Report is being <br />delivered to the Dissemination Agent herewith not later than 270 days after the end of the Fiscal <br />Year to which the Annual Report relates. The Annual Report contains, or includes by reference, <br />Financial Information and Operating Data of the types identified in the Continuing Disclosure <br />Certificate most recently delivered to the Dissemination Agent pursuant to Section 5 of the <br />Continuing Disclosure Agreement. To the extent any such Financial Information or Operating Data <br />is included in the Annual Report by reference, any document so referred to has been previously <br />provided to the Repositories or filed with the SEC or, in the case of a reference to a Final Official <br />Statement, has been filed with the MSRB. <br /> <br />Such Financial Information and Operating Data have been prepared on the basis of the <br />[AuditedlUnaudited] Financial Statements. [Such Audited Financial Statements are included as part <br />of the Annual Report.] [Because the Audited Financial Statements have not been approved by the <br />Governing Body as of the date hereof, the Unaudited Financial Statements have been included as <br />part of the Annual Report. The Unaudited Financial Statements have been prepared on a basis <br />substantially consistent with such Audited Financial Statements.
