<br />"Bonds" means the $ <br />Revenue Bonds, Series 2002C. <br /> <br />Florida Municipal Loan Council <br /> <br />"Borrowers" <br /> <br />means <br /> <br />"Closing" refers to the transaction at which the Bonds are delivered by the Issuer to <br />the Underwriter and paid for by the Underwriter pursuant to this Agreement, as further <br />described in Section 5 hereof. <br /> <br />"Closing Documents" means the documents described in Section 6 hereof, which <br />are required to be delivered to the Underwriter at the Closing. <br /> <br />"Code" means the Internal Revenue Code of 1986, as amended, together with the <br />regulations thereunder. <br /> <br />"Continuing Disclosure Agreement" means, as to the Issuer and each <br />respective Borrower, the respective Continuing Disclosure Agreement, dated as of <br />,2002, made by the Issuer and each Borrower, respectively, and the Bond <br /> <br />Trustee. <br /> <br />"Issuer" means the Florida Municipal Loan Council. <br /> <br />"Issuer's Counsel" means Kraig A. Conn, Esq. <br /> <br />"Letter" means the Blanket Letter of Representations between the Issuer and The <br />Depository Trust Company, relating to the global book-entry system for ownership of <br />beneficial interests in the Bonds. <br /> <br />"Loan Agreement" means, as to a Borrower, the Loan Agreement, dated as of <br />, 2002 between the Issuer and that Borrower. <br /> <br />"Loan Agreements" means the Loan Agreements, each dated as of <br />, 2002 between the Issuer and the Borrowers. <br /> <br />"Official Statement" means the Official Statement of the Issuer and the Borrowers <br />with respect to the Bonds, substantially in the form of the Preliminary Official Statement, <br />including the cover page and all appendices, exhibits and statements included therein or <br />attached thereto, and all supplements thereto, with such changes as shall be necessary to <br />conform to the terms of this Agreement and shall be approved by the Underwriter, the <br />Borrowers and the Issuer. <br /> <br />"Preliminary Official Statement" means the Preliminary Official Statement <br />dated _, 2002 of the Issuer and the Borrowers with respect to the <br />Bonds, including the cover page and all appendices, exhibits and statements included <br />therein or attached thereto. <br /> <br />2 <br />
