<br />sixty (60) days after the Installment Computation Date or Final Computation Date, as applicable. <br /> <br />Payments of rebate installments will be made to the Internal Revenue Service at such office as may <br /> <br />be required by law. The payments will be accompanied by Form 8038-T. <br /> <br />16. For purposes hereof, the term "Installment Computation Date" means the last day of <br /> <br />the fifth (5th) and each succeeding fifth Bond Year. Thus, the first Installment Computation Date <br /> <br />is June 8, 2014. <br /> <br />17. For purposes hereof, the term "Final Computation Date" means the date the Note is <br /> <br />fully discharged. <br />18. For purposes hereof, the term "Bond Year" means a one year period beginning on and <br /> <br />including a June 9 and ending on and including the next succeeding June 8, except that the first Bond <br /> <br />Year begins on the date of issuance of the Note and ends on June 8,2014. <br /> <br />19. <br /> <br />For purposes ofthose provisions ofTreas. Reg. Section 1.148-7(e) through <br /> <br />(m) that apply based upon the City's reasonable expectations, the City elects to have those provisions <br /> <br />apply based upon actual facts. <br /> <br />20. The City reasonably expects that at least 85% of the spendable proceeds of the Note <br /> <br />will be spent for the governmental purposes of the Note within the three-year period beginning on <br /> <br />the date hereof, and not more than 50% of the proceeds of the Note are being invested in <br /> <br />non-purpose investments having a substantially guaranteed yield for four years or more. <br /> <br />21. Terms used herein in capitalized form and not otherwise defined herein shall have the <br /> <br />same meaning as ascribed thereto in the Note Resolution and in the Arbitrage Regulations. <br /> <br />22. Anything in this Certificate to the contrary notwithstanding, if the Code or Arbitrage <br /> <br />Regulations should be modified or interpreted by the Treasury Department or by a court of <br /> <br />competent jurisdiction or held invalid by a court of competent jurisdiction and the effect of the <br /> <br />5 <br />
