We have acted as special counsel to the City of Sunny Isles Beach, Florida (the "City") in connection with the issuance of the City's $15,000,000 Capital Improvement Revenue Bonds, Series 2010 (the "Bonds"). In such capacity, we have examined the following and such other matters as we have deemed necessary: . a. Ordinance No. 2010-343 and Resolution No. 2010-1538, both adopted by the City Commission on March 18, 2010 (collectively, the "Bond Ordinance"). I I. b. The City Charter, as amended (the "Charter"), and Chapter 166, Florida Statutes, as amended; c. The Loan Agreement, dated as of March 24, 2010 (the "Loan Agreement"), between the City and SunTrust Bank; and d. Such other documents, certificates, records and proceedings as we have considered necessary to enable us to render this opinion. . .
