<br /> <br />CITY OF SUNNY ISLES BEACH <br />AGREEMENT WITH FOR <br />PROFESSIONAL TOW SERVICES FOR THE SUNNY ISLES <br />0' ,u" BEACH POLICE DEPARTMENT <br />CONTRACT NO. <br /> <br />THIS AGREEMENT made and entered into as of this _ day of ,2010 <br />by and between , a corporation organized and existing under <br />the laws of the State of Florida, having its principal office at <br />(hereinafter referred to as the "Contractor"), and the City of Sunny Isles Beach, a political <br />subdivision of the State of Florida, having its principal office at 18070 Collins Avenue, Sunny <br />Isles Beach, Florida 33160 (hereinafter referred to as the "City"), <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the Contractor has offered to provide Towing and Storage of Vehicles <br />Services that shall conform to the City of Sunny Isles Beach's Request for Proposals (RFP) No. 10- <br />07-01, all associated addenda and attachments, incorporated herein by reference; and the <br />requirements of this Agreement; and, <br /> <br />WHEREAS, the Contractor has submitted a written proposal dated <br />2010, hereinafter referred to as the "Contractor's Proposal", <br />which is incorporated herein by reference; and <br /> <br />WHEREAS, the City desires to procure from the Contractor such Towing and Storage of <br />Vehicles Services for the City, in accordance with the terms and conditions of this Agreement. <br /> <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein <br />contained, the parties hereto agree as follows: <br /> <br />ARTICLE 1. DEFINITIONS <br /> <br />The following words and expressions used in this Agreement shall be construed as follows, except <br />when it is clear from the context that another meaning is intended: <br /> <br />a) The words "Contract" or "Contract Documents" or "Agreement" to mean collectively <br />these terms and conditions of RFP No. 10-07-01 and all associated addenda and <br />attachments, the Contractor's Proposal, and all other attachments hereto and all <br />amendments issued hereto. <br /> <br />b) The words "Contract Date" to mean the date on which this Agreement is effective. <br /> <br />c) The words "Contract Manager" to mean Michael Grandinetti, Captain Admin.
