<br />the City; and <br /> <br />c) Represent, directly or indirectly, that any product or service provided by the Contractor or <br />such parties has been approved or endorsed by the City, except as may be required by law. <br /> <br />ARTICLE 38. BANKRUPTCY <br /> <br />The City reserves the right to terminate this contract if, during the term of any contract the <br />Contractor has with the City, the Contractor becomes involved as a debtor in a bankruptcy <br />proceeding, or becomes involved in a reorganization, dissolution, or liquidation proceeding, or if a <br />trustee or receiver is appointed over all or a substantial portion of the property of the <br />Contractor under federal bankruptcy law or any state insolvency law. <br /> <br />ARTICLE 39. GOVERNING LAW AND VENUE <br /> <br />This Contract, including appendices, and all matters relating to this Contract (whether in <br />contract, statute, tort (such as negligence), or otherwise) shall be governed by, and construed in <br />accordance with, the laws of the State of Florida. The Venue for any legal proceeding under this <br />Agreement shall be in Miami-Dade County, Florida. <br /> <br />ARTICLE 40. SURVIVAL <br /> <br />The parties acknowledge that any of the obligations in this Agreement will survive the term, <br />termination and cancellation hereof. Accordingly, the respective obligations of the Contractor and <br />the City under this Agreement, which by nature would continue beyond the termination, <br />cancellation or expiration thereof, shall survive termination, cancellation or expiration hereof. <br /> <br />(The remainder of this page has been intentionally left blank.) <br /> <br />53 <br />
