<br />4.12.5. The Contractor agrees that if any part of the Work under the Contract is sublet, they will require the <br />Sub-Contractor(s) to carry insurance as' required, and that they will require the Sub-Contractor(s) to <br />furnish to them insurance certificates similar to those required by the City in this section. <br /> <br />4.13. Cancellation and Re-Insurance: If any insurance should be canceled or changed by the insurance <br />company or should any insurance expire during the period of this contract, the Contractor shall be responsible <br />for securing other acceptable insurance to provide the coverage specified in this section to maintain coverage <br />during the life of this Contract. All deductibles must be declared by the Contractor and must be approved by <br />the City. At the option of the City, either the Contractor shall eliminate or reduce such deductible or the <br />Contractor shall procure a Bond, in a form satisfactory to the City, covering the same. <br /> <br />4.14. Contractor's Responsibility: The Contractor shall have the following responsibilities: <br /> <br />4.14.1. The Contractor will not employ any Sub-Contractor, against whom the City may have reasonable <br />objection, nor will the Contractor be required to employ any Sub-Contractor who has been accepted <br />by the City, unless the City determines that there is good cause for doing so. <br /> <br />4.14.2. The Contractor shall be fully responsible for all acts and omissions of their Sub-Contractors and of <br />persons and organizations directly or indirectly employed by them and of persons and organizations <br />for whose acts any of them may be liable to the same extent that they are responsible for the acts <br />and omissions of persons directly employed by them. Nothing in the Contract Documents shall create <br />any contractual relationship between City or Contractor and any Sub-Contractor or other person or <br />organization having a direct contract with Contractor, nor shall it create any obligation on the part of <br />City to payor to see to payment of any persons due any Sub-Contractor or other person or <br />organization, except as may otherwise be required by law. City may furnish to any Sub-Contractor or <br />other person or organization, to the extent practicable, evidence of amounts paid to the Contractor <br />on account of specified Work done in accordance with the schedule values. <br /> <br />4.14.3. The divisions and sections of the Specifications shall not control the Contractor in dividing the Work <br />among Sub-Contractors or delineating the Work performed by any specific trade. <br /> <br />4.14.4. The Contractor agrees to bind specifically every Sub-Contractor to the applicable terms and <br />conditions of the Contract Documents for the benefit of the City. <br /> <br />4.14.5. All Work performed for the Contractor by a Sub-Contractor shall be pursuant to an appropriate <br />agreement between the Contractor and the Sub-Contractor. <br /> <br />4.14.6. The Contractor shall be responsible for the coordination of the trades, Sub-Contractors and material <br />and men engaged upon their Work: <br /> <br />4.14.6.1. The Contractor shall cause appropriate provisions to be inserted in all subcontracts <br />relative to the Work to bind Sub-Contractors to the Contractor by the terms of these General <br />Conditions and other Contract Documents insofar as applicable to the Work of Sub-Contractors, and <br />give the Contractor the same power as regards to terminating any subcontract that the City may <br />exercise over the Contractor under any provisions of the Contract Documents. <br /> <br />4.14.6.2. The City will not undertake to settle any differences between the Contractor and their <br />Sub-Contractors or between Sub-Contractors. <br /> <br />4.14.6.3. If in the opinion of the City, any Sub-Contractor on the Project proves to be <br />incompetent or otherwise unsatisfactory, they shall be promptly replaced by the Contractor if and <br />when directed by the City in writing. <br /> <br />PAGE 15 OF 96 <br />BID No. <br />
