<br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />. <br />'. <br />. <br />. <br />. <br />. <br />. <br />. <br />I. <br />. <br />. <br /> <br />Lease Agreement <br />METRO PLUS PROPERTIES, LLC <br />and SEA Y TOWING INC. <br /> <br />THIS AG~EMENT, entered into this ~ day of OCTOBER, 2009, between METRO Plus Propel1ie~, <br />LLC, a Florida limited liability company (hereinafter referred to as "Lessor" or "Landlord") and SEA Y TOWING <br />INC., a Florida Corporation, (referred to as "Lessee" or "Tenant"): <br />WITNESSETH, that Lessor does this day lease unto said Lessee, and Lessee does hereby hire and take <br />as tenant under said Lessor at 8300 NW 7th Avenue, Miami, FL situated in Miami-Dade County Florida (the <br />"Premises"), to be used and occupied by Lessee for commercial purposes and for no other purposes or uses <br />whatsoever, for the term of. subject and conditioned on the provisions of clause ten of this lease beginning the 7'h <br />day of October, 2009 and ending the 31st day of October, 2014 (the "Initial Lease Term"). <br />Provided thl1t Lessee is not in default under the terms of this Lease, Lessee shall have the option to <br />i <br />extend the term of this Lease for one additional term of five (5) years (the "Option Lease Term"). Lessee shall <br />I <br />exercise its right of eftend the term of this Lease by giving Lessor written notice of such election not earlier than <br />nine (9) months nor I,ater than four (4) months prior to the expiration of the initial Lease Term. All other terms, <br />covenants, conditions) of the renewal lease shall remain the same as set forth in the Lease herein. <br />"Renf' shaUibe equal to the GROSS sum of $ 10,000.00 per month. The GROSS rental amount includes real <br />estate taxes imposed upon the Premises for each year, and applicable sales tax (7.00%). <br /> <br />Total GROSS Monthly Rent <br /> <br />$10.000.00 <br /> <br />Lessor agrees to give Lessee free rent for the month of OCTOBER 2009. However, Lessee is required <br />to remit to Lessor first month's Rent (November 2009) in the amount of $10.000.00 upon execution of this Lease. <br />After the third year of the Initial Lease Term, and during each year of the Option Period if the lease is <br />extended in accordance with the terms hereof, the Gross Rent shall be increased by two (2%) percent per year <br />over the rent for the preceding year.. <br />The "Security Deposit" shall be 10,000.00, which shall be payable upon execution of this Lease. Lessee <br />agrees that such Security Deposit is being deposited with Lessor as security for the faithful performance and <br />observance by Lessee of the term~, provisions and conditions of this Lease; it is agreed that in the event Lessee <br />defaults in respect of; any of the terms, provisions and conditions of this Lease, Lessor may, without prejudice to <br />any other remedy which Lessor may have on account therefore, appropriate, use, apply or retain the whole or any <br />part of the security sq deposited to the extent required for the payment of any sum as to which Lessee is in default <br />and Lessee shall fort~with, upon demand of Lessor, restore said security to the original sum deposited. Lessor <br />may commingle the security depo;1t with its other funds and no interest shall be payable to Lessee.
