Lessee shall reimburse '-and <br />compensate Lessor as additional rent for all expenditures made by, or damages or fines sustained or incurred by, <br />Lessor due to non-performance or non-compliance with or breach or failure to observe any term, covenants or <br />condition of this Lease upon Lessee's part to be kept, observed, performed or complied with. <br /> <br />THIRD: Lessee, at its sole cost and ex-pense, shall promptly comply with all laws, statutes, ordinances, rules, <br />orders, regulations and requirements of the Federal, State, County and local government and of any and all their <br />departments and bureaus with jurisdiction over the Premises, and with any directives of any public officer or <br />officers which shall impose any violation, order or duty upon Lessor or Lessee with respect to the Premises and/or <br />relate to the correction., prevention and/or abatement of nuisances or other grievances in, upon or connected with <br />the Premises during the\term hereof. Lessee shall, at Lessee's own cost and expense, also promptly comply with <br />and obey all rules, orders and regulations of all Lessor's insurance carriers and any fire underwriting or rating <br />authority. Any governrnental or municipal permits, approvals or consents required in order for Lessee to be able <br />to use the Premises for the purposes for which Lessee intends, and is permitted hereunder, to use the Premises, if <br />necessary, shall be obtained by Lessee, at Lessee's sole cost and expense, and any failure of Lessee to obtain such <br />I <br />penn its, approvals or consents shall not relieve Lessee of its obligations hereunder. Landlord makes no <br />warranties, representatlbns or guarantees of any kind, nature or sort, express or implied, with regard to the <br />condition of, or defect~ latent of the Premises or of any and all furniture, fixtures, equipment, improvements, <br />accessories and utilities located in or upon the Premises and/or title to any equipment which may be located <br />upon the Premises, andjmakes no representations or warranties with respect to the Permitted Use, zoning and/or <br />other governmental re~uirements related thereto. Tenant is entering into this Lease based upon its own <br />investigation and due diligence as to the Permitted Use, condition of the property, availability of all utilities and <br />duct work as being sati~factory to its intended use and purpose. Tenant has not relied upon any representations <br />by the Landlord or its agents with respect to the condition, design, amenities or completion of the Building or <br />Premises. Notwithstanding anything to the contrary contained in this Lease, the obtaining and maintenance of <br />all permits, licenses, zoning and governmental authorizations required for Tenant's business operations shall be <br />Tenant's sole responsj~ility and at Tenant's sole cost and expense and in no case shall the obtaining or <br />maintenance of such be a condition to Tenant's obligations hereunder. Tenant shall indemnify and hold <br />harmless the Landlord of an from any and all liens or other claims which are asserted against any or all of such <br />personal property by the State of Florida Department of Revenue for unpaid personal property taxes arising <br />after the-date of this Lease, including any such claims with respect to any such taxes owed by any prior owner <br />or user of such personal property. <br /> <br />Without in any way limiting the generality of the foregoing, Tenant specifically acknowledges <br />and agrees that it hereby waives, releases and discharges any claim it has, might have had or may have against <br />Landlord with respect to the condition of the Premises, either patent or latent, its ability or inability to maintain <br />certificates of occupancy or other licenses or governmental approvals for the use or operation or the Premises, <br />and/or certificates of compliance for the Premises, the actual or potential income or profits to be derived from <br />the Premises. <br /> <br />3 <br />
