Exceptions to the Contract With regard to the City of Sunny Isles Beach Threshold Inspection Services Agreement with Contractor, PBS&J has the following exceptions: On page 19, Section 10. Indemnification, please consider replacing the language with the following: "Consultant shall indemnify and hold harmless the City, and its officers and employees, from liabilities, damages, losses. and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence. recklessness, or intentionally wrongful conduct of the Consultant and other persons employed or utilized by the Consultant in the performance of the contract." On page 21, Section 17. Arbitration, please consider replac- ing the language with the following: "If a dispute arises out of or related to this Agreement or the breach thereof, the parties will attempt to settle the mat- ter between themselves. If no agreement can be reached the parties agree to use mediation with a mutually agreed upon mediator before resorting to a judicial forum. The cost of a third party mediator will be shared equally by the parties. In the event of litigation, the prevailing party will be entitled to reimbursement of all reasonable costs and attorneys' fees."
