CERTIFICATE OF RESOLUTION
<br />I, ANTHONY GARRUTO, Secretary of VALLEYCREST LANDSCAPE MAINTENANCE,
<br />INC., a Florida corporation, do hereby certify that on July 12, 2010, the following resolutions
<br />were adopted by unanimous consent of the Directors of VALLEYCREST LANDSCAPE
<br />MAINTENANCE, INC., pursuant to the authority of §607.134 of the Florida General
<br />Corporation Act:
<br />Authorization to Execute Documents
<br />RESOLVED, that the Board of Directors have authorized and they do hereby
<br />authorize John J. Amarosa, John Anderson, John Balzirini, Victor Bernardini,
<br />Charles Bland, Larry Blackburn, John Borland, Steve Brackin, Andrew Brennan,
<br />Brandon Bryson, Cliff Cameron, John Cornelius, Luis Cortes, Mark Cruzan,
<br />Brent Davis, Mary Edwards, Vincente Fernandez, Anthony Garruto, Charles L.
<br />Gonzalez, Edward Goodall, David L. Hanson, Richard T. Hanzel, James Jordan,
<br />Ray Keenan, Karen M. Klein, Mark Lanteigne, Nicholas Lawrence, Rob Maier,
<br />Andrew J. Mandell, Roderick Marquardt, Scott Miller, David Rivera, John L.
<br />Rose, Eric Rothell, Richard A. Sperber, Gary L. Tungate, Keith Wilson, Bud
<br />Worland, Jose A. Zepeda, Roger Zino, or any of them to execute and deliver in
<br />the name of and for and on behalf of this Corporation, any and all bids, bid bonds,
<br />contracts, contract bonds, and authorizations pertaining to contracts, liens and
<br />releases;
<br />FURTHER RESOLVED, that the Secretary or Assistant Secretary of the
<br />Corporation is hereby authorized and directed to execute a Certificate of the
<br />Secretary certifying to the passage of these resolutions;
<br />FURTHER RESOLVED, that any and all firms, persons, corporations and other
<br />entities, including, without limiting effect, public entities, shall be entitled to rely
<br />on the authority of any one of the foregoing persons to bind this corporation by
<br />the execution and the delivery of any such bids, bid bonds, contracts, contract
<br />bonds, and authorizations pertaining to contracts, liens and releases;
<br />FURTHER RESOLVED, that the authority herein contained, shall remain in
<br />effect until the persons, firm, corporation or other entity relying upon the
<br />authority herein contained receive written notice to the contrary and that all
<br />previous authorizations heretofore given with respect to the matters herein
<br />contained are revoked; provided, however, that this revocation shall not affect the
<br />validity of any instrument hereinabove referred to that was executed by any
<br />person or persons who at the time of such execution was duly authorized to act.
