DESIGN-BUILD <br />AGREEMENT <br />Aquatic Entertainment Center <br /> <br />"Construction Agreement" <br /> <br />THIS AGREEMENT (this "Agreement"), made and entered into the _ day of <br />,2011 by and between: <br /> <br />CITY OF SUNNY ISLES BEACH, FLORIDA <br />a municipal corporation <br />18070 Collins Avenue <br />Sunny Isles Beach, FL 33160 <br />(hereinafter referred to as "CITY"), and Assigns <br /> <br />AND <br /> <br />4M Investors, LLC <br />a Florida corporation <br /> <br />(hereinafter referred to as "CONTRACTOR") <br /> <br />WHEREAS, on October 6th, 2010, via RFP# 10-10-01, CITY issued its notice to bidders <br />of the CITY'S desire to hire a firm to perform the following work: <br /> <br />"Design/Build Services for an Aquatic Entertainment Center"; and <br /> <br />WHEREAS, in response to the RFP, the CITY adopted Resolution 2010-1632 dated <br />November 18, 2010, relating to CONTRACTOR'S design and construction of an Aquatic <br />Entertainment Center as well as a Park and Parking Garage; and <br /> <br />WHEREAS, the CITY, as outlined above, has identified a certain parcels of real property <br />located in the CITY (the "Land") and which is owned by it upon which it intends to have <br />constructed an Aquatic Entertainment Center and other, site improvements consisting of a Park, <br />Parking Garage, as well as high end retails shops to be constructed on the Land and referred to as <br />the "Project" ; and <br /> <br />WHEREAS, CITY and CONTRACTOR, in reliance on the proposals set forth in the RFP <br />and Response to RFP submitted by Contractor, now desire to enter into this Agreement respecting <br />the Project; and <br /> <br />WHEREAS, CITY has determined that entering into this Agreement with CONTRACTOR <br />for the design and construction of the Project contemplated by this Agreement is in the best <br />interests of the health, safety, and welfare of the citizens and residents of Miami-Dade County and <br />of the CITY of Sunny Isles Beach, Florida; and <br /> <br />" DeletE <br />Docum <br />Agreerr <br /> <br />U:\Citv Attornev\HANS\2010 Documents\4m 1nvestors\Design Build Agreement Revised 12 15 10 (c1ean).doG-H <br />
