<br />create any obligation on the part of CITY to payor to see to the payment of any moneys due any <br />such Subcontractor, supplier or other person or organization except as may otherwise be required <br />by laws and regulations. <br /> <br />6.11.4 All Work performed for CONTRACTOR by a Subcontractor will be pursuant to an <br />appropriate agreement between CONTRACTOR and the Subcontractor which specifically binds <br />the Subcontractor to the applicable terms and conditions of the Contract Documents for the benefit <br />of CITY. <br /> <br />6.12 <br /> <br />Patent Fees and Rovalties. <br /> <br />CONTRACTOR shall pay all license fees and royalties and assume all costs <br />incident to the use in the performance of the Work or the incorporation in the Work of any <br />invention, design, process, product or device which is the subject of patent rights or copyrights held <br />by others. <br /> <br />6.13 <br /> <br />Permits. <br /> <br />The CONTRACTOR agrees that it shall obtain and pay for all permits, approvals, <br />licenses, government charges and inspection fees as reasonably inferable from the Contract <br />Documents that will be required to complete the Project, except permit fees or other fees charged <br />by the CITY. <br /> <br />6.14 <br /> <br />Laws and Regulations. <br /> <br />CONTRACTOR shall comply with and give all notices required by laws, <br />ordinances, rules, regulations and lawful orders of public authorities applicable to the performance <br />of the Work. CITY shall not be responsible for monitoring CONTRACTOR'S compliance with <br />any laws and regulations. CONTRACTOR shall promptly notify CITY if the Contract Documents <br />are observed by CONTRACTOR to be at variance therewith. <br /> <br />6.15 <br /> <br />Risk of Loss; Title. <br /> <br />The risk of loss, injury or destruction shall be on CONTRACTOR until Final <br />Completion and acceptance of the Project. Title to the Work shall pass to CITY upon Final <br />Completion and acceptance of the Work by CITY. <br /> <br />6.16 <br /> <br />Taxes. <br /> <br />CONTRACTOR shall pay all sales, consumer, use and other similar taxes required <br />to be paid by CONTRACTOR in accordance with the laws and regulations of the State of Florida <br />and its political subdivisions. CONTRACTOR is responsible for reviewing the pertinent state <br />statutes involving such taxes and complying with all requirements. CITY and CONTRACTOR <br />shall jointly cooperate so that CITY may order and pay for goods and supplies which will be <br />incorporated into the Work; the goods and supplies that may be purchased by CITY shall be <br />approved in advance by the parties, and shall generally be only those that cost more than $10,000 <br /> <br />14 <br />
