Appointment of Successor Trustee <br /> <br />In the event any Trustee duly appointed to serve on the Board <br />of Trustees shall die, resign, become incapacitated, or refuse to <br />act, a successor Trustee shall be selected forthwith by the Board. <br />The notice of appointment of a successor Trustee shall be provided <br />in writing by the Chairman of the Board of Trustees or the <br />Administrator, and such successor Trustee's notice of acceptance of <br />such appointment shall be provided in writing to the Chairman of <br />the Board addressed to the office or offices of the Fund. A <br />successor Trustee selected pursuant to this paragraph shall fulfill <br />the unexpired term of the Trustee replaced and, subject to re- <br />election, qualifications and limitations on service, and removal of <br />a Trustee as provided herein, shall be entitled to serve two (2) <br />full consecutive three-year terms following the expiration of the <br />unexpired term filled by the successor Trustee. <br /> <br />Section 8. Trustees' Rights <br /> <br />In case of death, resignation, incapacity, or refusal to act <br />on the part of one or more of the Trustees, the remaining Trustees <br />shall have all the powers, rights, estates, and interest provided <br />in this Agreement as Trustees and shall be charged with the duties <br />provided in this Agreement, provided in such cases, no action may <br />be taken unless it is concurred in by a majority of the remaining <br />Trustees. <br /> <br />Section 9. Trustee Officers <br /> <br />c <br /> <br />The initial Board of Trustees shall meet as promptly as <br />possible after the execution of this Agreement and elect from among <br />the members of the Board a Chairman and Vice-Chairman. The term of <br />these officers shall commence on the date of their election and <br />shall continue to the end of the fiscal year. Thereafter, such <br />officers shall be elected annually. The Vice-Chairman of the Board <br />of Trustees shall exercise the powers, duties and responsibilities <br />of the Chairman in the Chairman'S absence. <br /> <br />ARTICLE III - ADMINISTRATION OF FUND <br /> <br />Section 1. Meetings <br /> <br />The Board of Trustees shall meet at such time and in such <br />location as may be acceptable to a majority of the Board of <br />Trustees. The Chairman of the Board of Trustees or his designee <br />shall set the date, time and location of each meeting, and notice <br />thereof shall be furnished to each Trustee by the Chairman or his <br />designee not less than ten (10) days prior to the date of such <br />meeting. Such notice shall specify. the date, time and location of <br />such meeting and may specify the purpose thereof, and any action <br />proposed to be taken thereat. Such notice shall be directed to <br />each Trustee by mail to the address of such Trustee as is recorded <br />in the office or offices of the Fund. In no event shall the Board <br />of Trustees' meet less than semi-annually. <br /> <br />The Chairman of the Board or any three (3) other Trustees may <br />call a special meeting and direct the Administrator to send the <br />prerequisite notice for any special meeting of the Board of <br />Trustees. Special meetings of the Board of Trustees may be held at <br />any time and place without notice, or with less than the <br />prerequisite notice, provided all Trustees execute a waiver of <br />notice and consent to said meeting. <br /> <br />c <br /> <br />For purposes of a duly called meeting of the Board of <br />Trustees, a quorum shall, exist if a majority of the members of the <br />Board of Trustees are present. <br /> <br />@] <br />
