(d) For purposes of purchasing additional copIes of the Book, this Section shall survive the termination clause. 7. Copvrie:ht. Patent. Trademark. (a) Publisher agrees that all work performed under this Agreement shall comply with all applicable patent, trademark and copyright laws, rules, regulations and codes. The Publisher further agrees that the Book will not utilize any protected patent, trademark or copyright unless the Publisher has obtained proper permission and all releases and other necessary documents. (b) If the Publisher uses any protected material, process or procedure, the Publisher shall disclose such patent, trademark or copyright in the Book. (c) Publisher shall indemnify the City from all related copyright, patent or trademark claims, due to the negligence of Publisher, its employees, principals, and agents. 8. Independent Contractor. Except as expressly provided for in this Agreement, Publisher is not authorized to act as the City's agent hereunder and shall have no authority, expressed or implied, to act for or bind the City hereunder, either in Publisher's relations w~th sub-contractors, or in any other manner whatsoever. The Publisher is an independent contractor and shall be treated as such for all purposes. Nothing contained in this agreement or any action of the parties shall be construed to constitute or to render the Publisher an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Publisher shall be responsible for any and all of its own expenses in performing its duties as contemplated under this agreement. The City shall not be responsible for any expense incurred by the Publisher. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Publisher, other than those set forth in this agreement. Publisher shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this agreement. 9. Use of City Seal.
