ARTICLE 51. SEVERABILITY In the event the any provision of this Agreement is determined by a Court of competent jurisdiction to be illegal or unenforceable, then such unenforceable or unlawful provision shall be excised from this Agreement, and the remainder of this Agreement shall continue in full force and effect. ARTICLE 52. ENTIRE AGREEMENT This Agreement, together with the and Bid Contract Documents and Resolution approving this Agreement, represent the entire and integrated agreement between the City and the Contractor and supersedes all prior negotiations, representations or agreements, written or oral. This Agreement may not be amended, changed, modified, or otherwise altered in any respect, at any time after the execution hereof, except by a written document executed with the same formality and equal dignity herewith. Waiver by either party of a breach of any provision of this Agreement shall not be deemed to be a waiver of any other breach of any provision of this Agreement. ARTICLE 53. CONFLICTING PROVISIONS If there is a conflict or inconsistency between any term, statement, requirement, or provision of any exhibit attached hereto, any document or events referred to herein, or any document incorporated herein by reference, and any term, statement, requirement or provision of this Agreement, the terms and conditions in this Agreement shall supersede and take priority. ARTICLE 54. TERMINATION OF CONTRACT NO. C6154 1516-024 Upon execution of this Agreement by both parties, it is mutually agreed that the previous Agreement for Contractor to perform all work in connection with RFP No. 14-09-01 in a total amount not to exceed Six Million Twenty Six Thousand Seven Hundred Sixteen Dollars and Eighty Five Cents ($6,026,716.85) dated January 22, 2016, via Contract No. C6154 1516-024, is hereby canceled in its entirety.
