C4288-1617-050 THIS CONTRACTUAL AG MENT (hereinafter referred to as the "Agreement") is made in duplicate, this (lit day of witeat , 2017, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and JORDA ENTERPRISES INC. D/B/A JORDA MECHANICAL CONTRACTOR, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 59-2340702. RECITALS WHEREAS, the City is in need of a contractor to furnish and install a new HVAC Chiller system at the Government Center located at 18070 Collins Avenue ("Services"); and WHEREAS, the City issued Invitation to Bid No. 16-09-02 ("ITB"), and Contractor submitted a response thereto, a copy of which is attached hereto and incorporated herein as Attachment "A"; and WHEREAS, Contractor was selected via Resolution 2017-2675 as the lowest responsible, responsive bidder in response to ITB No. 16-09-02; and WHEREAS, Contractor is willing and able to perform the services based on the terms and conditions set forth in ITB No. 16-09-02, which is incorporated herein by reference in its entirety; and • WHEREAS, the City desires to enter into an Agreement with Contractor to provide the Services in an amount not to exceed Seven Hundred Seventy Four Thousand Fifty Dollars ($774,050.00). NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. SERVICES. Contractor shall furnish and install a new HVAC Chiller system at the Government Center located at 18070 Collins Avenue, as more particularly described in Attachment "A", which is attached hereto and made a part hereof. 3. TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder, the term of this Agreement shall commence upon the date stated in the Notice to Proceed issued from the City Manager or his designee, and terminate no later than one hundred twenty (120) days thereafter.
