11. TERMINATION.

<br />mate.:al to this agr=ment, the City shall have the right to tetttt;ttate the services then remaining
<br />to be performed. Prior to the exercise of its uption to terminate rur ca,we, the City shall notify
<br />the Luntractor of ;ts violation of the particular terms of the agreement and grant Contractor ten
<br />(10) days to c...c auuh dcrn.tt. If the dLrault remains ,,,,cured after ten (10) days the City may
<br />terminate this agreement.
<br />(i.) In the event of t-,nninatiun, all n,t;shcd and unfinished document, data and -ether
<br />work product prepareh by Contrmtur (and Sub Contractur(a)) shall be delivered to
<br />the City and the City shall compensate the Contractor far all services sati3mctorily
<br />performed prier to the date of te, mination, m provided itt Paragraph 5 herein.
<br />(ii.) Notwithsut„ding the foregoing. the Contractor shall not be relieved of liability to
<br />we Uty for aamagC5 sUQtai„ed by ;t by virtue of a btcat;h of the agreement by
<br />Contractor and the City ma, re=urtebl, -,ithhuld paywents to C%„tracto, tv, the
<br />purposes of Set-off ut,til such tithe as the exact amount of damages due the City

<br />B. The City may, far its convenience and
<br />with -..t HQ.3- t-rminatz the aurv,%.u3 men urr,aining to be pertbrmud at any time by giving
<br />written notice which shall became effective ten (10) da,s futlun:rrg receipt by Contractu,. Thu
<br />tcmaa of Paragraphs A(i) and (ii) above shall be applicable hereunder.
<br />C. Termination for Insolvency. the City also re3crr:.o the right to terminetz the
<br />,emain;ng Servizes to be pertumiea in the event the Contractor is placed either in voluntary or
<br />involuntary Qankruptzy yr makea any assignment fur thz benefit of cruditurs.
<br />12. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not
<br />subcontract, assign or transrrr a.., nvrk ,.,,der mi5 agruGmutit with the prior written cunbuttt of
<br />the City. Should the Conuactor subcontract any services under utis agi—cumcrlt, ;t shall be fiurtc
<br />with cv,rtinued liability for the CotltractOL. The Cvnuautor shall remain responsible far services;

<br />13. WAIVER OF RIGHT TO JURY TRIAL. Each of the paiues hereto hereby

<br />14. ARBITRATION. It is the intention of the partieb that whenever possible. if a dispute ar
