This MOU shall be governed by and construed in accordance <br /> with the laws of the State of Florida, and venue for any dispute or litigation shall be in Miami- <br /> Dade County, Florida. <br /> 9. Costs. Each Party shall pay its own costs and expenses of and incidental to the <br /> negotiation, preparation, execution and implementation by it of this MOU and any other <br /> agreements pertaining to the Skatepark. <br /> 10. Counterparts. This MOU may be executed in counterparts, each of which shall <br /> be deemed an original and such counterparts shall constitute one and the same instrument: <br /> 11. No Agency or Partnership.
