Assignment <br />Neither party shall assign, transfer, sublet or subject this AGREEMENT or its rights, title, or interest <br />thereupon without the other party's prior written approval, to be given in the sole discretion of such party. <br />11. Governing Law, Venue and Dispute Resolution <br />The validity, construction, and effect of this AGREEMENT shall be governed by the laws of the State of <br />Florida. Any claim, objection, or dispute arising out of the terms of this AGREEMENT shall be litigated in <br />for a court of competent jurisdiction in Miami -Dade COUNTY, Florida. The parties shall resolve any <br />disputes, controversies or claims between them arising out of this Agreement in accordance with the "Florida <br />Governmental Conflict Resolution Act", Chapter 164, Florida Statutes, as amended. <br />12. Force Majeure <br />CITY and COUNTY will be excused from the performance of their respective obligations under this <br />Agreement when and to the extent that their performance is delayed or prevented by any circumstances <br />beyond their reasonable control including but not limited to, fire, flood, explosion, strikes or other <br />labor disputes, acts of God or public emergency, war, riot, civil commotion, malicious damage, act or <br />omission of any governmental authority, delay or failure or shortage of any type of transportation, <br />equipment, or service from a public utility needed for their performance, provided that: <br />(a) the non-performing party gives the other party prompt written notice describing the <br />particulars of the Force Majeure including, but not limited to, the nature of the occurrence <br />and its expected duration and continues to furnish timely reports thereto during the period of <br />Page 8 of� 63 <br />
