Y,QI •• . <br />AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br />AND AMERICAN RAMP COMPANY <br />CONTRACT NO, 030.6278 <br />THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is <br />made in duplicate, this 11 S�day ofVc`CEt1A4ai0017, by and between the CITY OF SUNNY <br />ISLES BEACH, Florida, (hereinafter .referred to as "City"), and AMERICAN RAMP <br />COMPANY, a corporation authorized to do business in the Stale of Florida (hereinafter referred <br />to as "Contractor") whose Federal I.D. 6 is 35-2353308. <br />WITNESSETH: <br />WHEREAS, the City of Sunny Isles Beach is in need of a Contractor for the planning, <br />design, and installation of a hybrid skatepark/pumptraek at Haulover Park, located at 10800 <br />Collins Avenue ("Services"); and <br />WHEREAS, Contractor is a certified and insured company with the necessary experience <br />to provide die desired Services; and <br />WHEREAS, the National Joint Powers Alliance ("N)PA") issued Request for Proposal <br />("RFP") No. 030117 and awarded Contract No. 030117 -ARC to Contractor for the period April <br />14, 2017, through April 14, 2021 to provide such services, which documents are incorporated <br />.herein by reference; and <br />WHEREAS, the City desires to enter into an agreement with Contractor, using Contract <br />No. 030117 -ARC in addition to the Contractor's response to RFP No. 030117, subject to the terms <br />and conditions contained herein; and <br />WHEREAS, pursuant to the City's procurement code provisions, purchases made under <br />state, county or other governmental contracts, or competitive bids with other governmental <br />agencies are exempt from the City's competitive bidding procedures; and <br />WHEREAS, the City wishes to contract with Contractor to provide the desired Services <br />as more particularly described in Attachment "A", which is attached hereto and incorporated <br />herein by reference, fora total amount not to exceed Two Hundred Sixty -Seven Thousand Three <br />Hundred Seventy -Five Dollars ($267,375.00). <br />NOW THEREFORE, in consideration of the promises and the mutualcovenants herein <br />naive, the parties agree as follows: <br />ARTICLE 1. DEFINITIONS . <br />Agreement means this Agreement together with the Contract Documents. <br />Bond(s) means the Payment Band and the Performance Bond issued by a surety or sureties in <br />accordance with the provisions of the Contract Documents. <br />PagelofX6-3 SIB <br />t <br />
