ARTICLE 4S. SEVERABILITY <br />In the event the any provision of this Agreement is determined by a Court of competentjurisdiction <br />to be illegal or unenforceable, then such unenforceable or unlawful provision shall be excised from <br />this Agreement, and the remainder of this Agreement shall continue in full force and effect. <br />ARTICLE 46, ENTIRE AGREEMENT <br />This Agreement constitutes the entire agreement and understanding, and supersedes all prior <br />agreements and understandings, if any, whether written or oral, between the City and Contractor <br />concerning the subject matter hereof, and there are no other covenants, agreements, promises, <br />terms, provisions, conditions, undertakings or understandings, either oral or written, between them <br />concerning the subject matter of this Agreement other than those expressly set forth herein. No <br />subsequent alteration, amendment, change, deletion or addition to this Agreement shall be binding <br />upon the City or Contractor unless in writing and signed by both parties to this Agreement. <br />ARTICLE 47. CONFLICTING PROVISIONS <br />If there is a conflict or inconsistency between any term, statement, requirement, or provision of <br />any exhibit attached hereto, any document or events referred to herein, or any document <br />incorporated herein by reference, and any term, statement, requirement or provision of this <br />Agreement, the terms and conditions in this Agreement shall supersede and lake priority, <br />(remainder of this page intentionally left blank) <br />070 -6178 -AMERICAN MMP COMPANY <br />28 <br />Page 48 of.162 r;t <br />
