<br /> f) The word "Deliverables"to mean all documentation and any items of any nature submitted
<br /> by the Contractor to the County's Project Manager for review and approval pursuant to
<br /> the terms of this Agreement.
<br /> g) The words "Deposit Materials" shall consist of source code and "development
<br /> environment" for the software. The "development environment" consists of the
<br /> programming documentation, build instructions, configuration information, schematics,
<br /> designs, and flow charts and any propriety software tools, libraries, linkers, utilities,
<br /> compilers, and other programs used by the Contractor's programmers to develop,
<br /> maintain or implement the software, including instructions for compiling and linking the
<br /> source code into executable forms or for building an executable version of the software.
<br /> If any of the `Deposit Materials" are commercial products readily available to the County
<br /> from third market sources, then such commercial products do not need to be included if a
<br /> list identifying them is included by the Contractor in the "development environment". The
<br /> "Deposit Materials" will include the name of the main programmers' involved in the
<br /> development and maintenance of the software along with their home addresses and
<br /> telephone numbers. This list will not be made available to the County unless released as
<br /> part of a release of "Deposit Materials" in accordance with the Escrow Agreement.
<br /> "Deposit Materials"will not be encrypted or password protected.
<br /> h) The words "directed", "required", "permitted", "ordered", "designated", "selected",
<br /> "prescribed" or words of like import to mean respectively, the direction, requirement,
<br /> permission, order, designation, selection or prescription of the County's Project Manager;
<br /> and similarly the words "approved", acceptable", "satisfactory", "equal", "necessary", or
<br /> words of like import to mean respectively, approved by, or acceptable or satisfactory to,
<br /> equal or necessary in the opinion of the County's Project Manager.
<br /> i) The words "Documentation" to mean all manuals, operating instructions, technical
<br /> materials and other textual or graphic materials to the controllers, Hardware or Software
<br /> purchased by the County.
<br /> j) The words "Extra Work" or "Additional Work" to mean additions or deletions or
<br /> modifications to the amount, type or value of the Work and Services as required in this
<br /> Contract, as directed and/or approved by the County.
<br /> k) The words "Maintenance and Support Services" to mean the support required for the
<br /> County to achieve optimal performance of the equipment as defined in Appendix A"Scope
<br /> of Work".
<br /> I) The words "Project Manager" to mean the County Mayor or the duly authorized
<br /> representative designated to manage the Project.
<br /> m) The words "Release Event" shall mean the source code will be released to the named
<br /> beneficiary in the event the Contractor becomes bankrupt, or ceases to offer support of
<br /> the applicable software application unless support is continued by an assignee of the
<br /> Contractor. Release Event shall be further defined under the escrow agreement,Appendix
<br /> C.
<br /> n) The words"Scope of Work"to mean the document appended hereto as Appendix A,which
<br /> details the work to be performed by the Contractor.
<br /> o) The word "subcontractor" or "subconsultant" to mean any person, entity, firm or
<br /> corporation, other than the employees of the Contractor, who furnishes labor and/or
<br /> materials, in connection with the Work, whether directly or indirectly, on behalf and/or
