SUNNY itE <br /> AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br /> 4"Sf AND ECONOLITE CONTROL PRODUCTS, INC. <br /> "`.F l0PCO 44 <br /> "0 <br /> "'""' CONTRACT NO. 073-6759 <br /> THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is <br /> made in duplicate, this I `day of IvnQ, 2018, by and between the CITY OF SUNNY ISLES <br /> BEACH, Florida, (hereinafter referred to as "City"), and ECONOLITE CONTROL <br /> PRODUCTS, INC., a corporation authorized to do business in the State of Florida (hereinafter <br /> referred to as "Contractor") whose Federal I.D. # is 95-3196532. <br /> RECITALS <br /> WHEREAS, the City desires to enter into an agreement with Contractor for the <br /> purchase and installation of adaptive signalization equipment ("Services") in an amount not <br /> to exceed budgeted funds; and <br /> WHEREAS, Contractor has agreed to provide said equipment to the City in accordance <br /> with its contract with Miami-Dade County, dated July 3, 2017, except to the extent otherwise <br /> provided herein; and <br /> WHEREAS, the City Commission in accordance with Chapter 62 of the City Code has <br /> approved a waiver of competitive bid request made by the City Manager and will enter into an <br /> agreement with Contractor, in accordance with the terms and conditions'of the Miami-Dade <br /> County Contract No. BW9872-1/20 ("MDC Contract"), which is attached hereto as Exhibit "A" <br /> and made a part of this Agreement. <br /> WHEREAS, the City desires to enter into this Agreement with Contractor to provide the <br /> Services in a total amount not to exceed One Million Seventy Seven Thousand Seven Hundred <br /> Eighteen Dollars and Eighty Five Cents ($1,077,718.85) in accordance with Exhibit "B". <br /> NOW THEREFORE, in consideration of the promises and the mutual covenants herein <br /> name, the parties agree as follows: <br /> TERMS <br /> 1. RECITALS. The provisions and recitals set forth above are hereby referred to and <br /> incorporated herein and made part of this Agreement. <br /> 2. PRODUCTS AND SERVICES. Contractor shall provide the purchase of adaptive <br /> signalization equipment to the City in accordance with the terms of the above referenced MDC <br /> contract attached as Exhibit "A" and the proposal attached as Exhibit "B". All other terms and <br /> conditions of the County's contract, a copy of which is attached hereto as Exhibit "A", are <br /> incorporated herein by reference, except to the extent otherwise revised below. <br /> 3. TERM. Subject to the provisions relating to the termination of this Agreement as set <br /> forth hereunder, the initial term of this Agreement shall be for twenty-four (24) months from the <br /> issuance of the Notice to Proceed from the City Manager. The City reserves the right to exercise <br /> the option to renew the Agreement for two (2) additional one (1) year term, for a maximum total <br /> of four(4) years. <br /> 073-6759 Econolite Control Products.Inc. <br />
