<br /> This Fifth Amendment to the Agreement between the CITY OF SUNNY ISLESEACH
<br /> ("City") and HPF ASSOCIATES, INC., ("Consultant") executed this ifLc o i day of (0 6-e V ,
<br /> 2018, is made a part of the original Agreement ("Agreement") dated February 24, 2015, Contract No.
<br /> C1415-032, between the City and Consultant, attached hereto as Attachment "B" and whose Federal
<br /> Identification # is 45-2570350. The City and Consultant hereby agree as follows:
<br /> 1. ADDITIONAL COMPENSATION. The payment to Consultant, as set forth in Section 4 of
<br /> the original Agreement, is hereby amended to include additional compensation for continuing
<br /> professional management/capital projects consulting, as more particularly described in Attachment
<br /> "A",which is attached hereto and incorporated herein by reference.The total contract amount approved
<br /> by the City Commission via Resolution No. 2017-2754, on October 19, 2017, in an amount not to
<br /> exceed Two Hundred Ninety Four Thousand Dollars ($294,000.00), is hereby amended to include
<br /> Additional Compensation for this Fifth Amendment, in an amount not to exceed Two Hundred Ninety
<br /> Four Thousand Dollars ($294,000.00), bringing the total contract amount not to exceed One Million
<br /> Two Hundred Forty Five Thousand Five Hundred Eighty Dollars ($1,245,580.00). The compensation
<br /> amount paid by City to Consultant under this Fifth Amendment shall not exceed an amount of Twenty
<br /> Four Thousand Five Hundred Dollars($24,500.00) per month or the total of$294.000.00, for a period
<br /> of up to one (1) year upon execution of this Fifth Amendment. If agreement is terminated by the City,
<br /> Consultant shall receive payment for service rendered up to the date of termination.
<br /> 2. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein, all
<br /> terms and conditions of the original Agreement between the parties, dated February 24, 2015, attached
<br /> hereto as Attachment"B", and all Amendments thereto, shall remain in full force and effect.
<br /> 3. CONFLICTING PROVISIONS. The terms, statements, requirements, and provisions
<br /> contained in this Fifth Amendment shall prevail and be given superior effect and priority over any
<br /> conflicting or inconsistent term, statement, requirement or provision contained in any other document
<br /> or attachment, including but not limited to Attachments "A" and "B".
<br /> IN WITNESS WHEREOF, the parties hereto have executed this Fifth Amendment to the
<br /> Agreement between the City and Consultant as of the date mentioned above.
