SYSTEM MALFUNCTION Any cable system equipment,facility or signal failure or malfunction <br /> that results in the loss of satisfactory service on one or more channels to one : -- . .. - . • <br /> or more units. <br /> TRANSFER OF A FRANCHISE Any transaction in which: s <br /> A. An ownership or other interest in a franchisee or its cable system is transferred from one person or <br /> group of persons to another person or group of persons so that control of a franchisee is transferred; <br /> Of <br /> assigned to another person, group of persons or business entity. <br /> TWO WAY CAPABILITY The incorporation into a cable system of all appropriate design and <br /> engineering characteristics and features so that two way interactive transmission, including but not <br /> limited to addressability, over the system can be implemented and activated. <br /> VIDEO CHANNEL or CHANNEL A portion of the electromagnetic frequency spectrum which <br /> associated audio signal, as television c'. annel is defined by the FCC by regulation or otherwise. <br /> The following words.terms and phrases.when used in this chapter. shall have the meanings <br /> ascribed to them in this section, except where the context clearly indicates a different meaning, <br /> Words not otherwise defined herein or in any franchise agreement that might be granted <br /> hereunder shall be given the meaning set forth in Section 610.103. Florida Statutes, and if not <br /> defined therein. the Communications Act of 1934. 47 USC 151 et seq.. and the <br /> Telecommunications Act of 1996. and as those statutes may hereinafter be amended (collectively <br /> the "Communications Act"). and. if not defined therein. the common and ordinary meaning. <br /> Certificateholder means a cable or video service provider that has been issued and holds a <br /> certificate of franchise authority from the Florida Department of State. <br /> City means the City of Sunny Isles Beach, Florida. a municipal corporation of the State of <br /> Florida. in its present form or in any later reorganized. consolidated. or enlarged form. <br /> Communications Act means the Communications Act of 1934, 47 USC §151 et seq., as the <br /> Communications Act has and may hereinafter be amended. <br /> Franchise is an authorization granted by the franchise authority which permits the <br /> construction. operation and maintenance of a cable television system within the franchise area <br /> under the terms of this chapter. <br /> Franchise area means that portion of the franchise entity for which a franchise is granted <br /> under the authority of this chapter. The franchise area may or may not be conterminous with the <br /> franchise entity. <br />
