("NG&N" or the "Firm") is pleased to submit itsproposal to serve as legal counsel for the City of Sunny Isles Beach (the "City"). Our proposal isintended to focus on the unique experience of NG&N and its members which we feel arespecially tailored to assist the City.In responding to this Request for Proposals, we have tried to limit our response to thoseitems specifically requested by the City and to those items which we believe would have adirect bearing on the City's decision. NG&N has been representing cities, counties, specialdistricts, and governmental authorities since the law firm was organized in 1984. Ourexperience working with Florida local governments is not only vast, but unsurpassed in theState. This experience, we believe/ will provide the City with significant benefits.We believe that NG&N is the right firm to provide the City with municipal legal servicesfor the following reasons:1. Extensive Experience Working with Florida Local Governments. NGN is currentlyrepresenting over 100 Florida local governments in one capacity or the other, whether as theprimary government attorney, special counsel, litigation counsel, bond counsel or otherwise.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 1 2. Problem Solvers. NG&N has always prided itself in being problem solvers. Timeand time again, while working with local government staff/ NG&N has provided creativesolutions to issues while being sensitive to political and economic constraints. The Firm isactively involved in all aspects of representation of governmental entities, including lobbying,drafting and changing legislation, arguing significant public policy issues before the FloridaSupreme Court, risk management, taxation, assessments, public-private partnerships/ creationand maximization of revenue streams and the myriad of other issues unique to localgovernments. Since NG&N has limited its practice primarily to the representation of localgovernments, NG&N avoids conflicts such as representing the City in one matter andrepresenting private parties with adversarial interests to the City in another. We also do notrepresent any of the municipalities surrounding the City. We believe that this additionalexperience is another advantage to having NG&N on the City team.3. Specific Local Government Experience applicable to the City of Sunny Isles Beach.We believe that our substantial experience, particularly in the areas of short-term rentals,police, fire and emergency medical services, water and wastewater, planning, zoning,development and redevelopment, and state and federal grants, provide extensive depth toaddress the City's needs and issues.As requested in your RFP, we hereby confirm the scope of work required by the Citywith regard to this proposal and commit to timely perform the work requested by the City.Edward A. ("NG&N" or "firm") is pleased torespond to the City's Request for Proposals for Professional Legal Services as specified in theRFP, and believes that we are uniquely suited to serve as the legal counsel for the City of SunnyIsles Beach. As legal counsel, our mission would entail the following:® Protect the legal interests of the City of Sunny Isles Beach in alt legal matters;a Serve as the primary legal advisor to the Mayor, City Commission, City Managerand the City Staff;» Provide quality and timely legal advice, representation, and opinions;a Ensure that all civil litigation involving the City is processed in a professional,effective, and efficient manner; and® Assist the City in the enforcement of City ordinances and policies and in theorderly performance of City business.Fulfilling this mission requires NG&N to provide a wide range of legal services to the Cityin the following practice areas: Contracts and Torts, Procurement and Purchasing,Constitutional Law, Employment and Labor, Public Law, Litigation and Appellate/Administrative, Finance, Land Use, Planning and Environmental, Real Estate and Utilities.As will be demonstrated in this proposal, NG&N has the knowledge/ experience andexpertise to serve the City in all of these critical functions. We welcome the opportunity toestablish and strengthen a relationship with the City of Sunny Isles Beach.Qualifications and Experience ofNabors, Giblin & Nickerson, P.A.NG&N has been representing counties, cities, special districts, and governmentalauthorities since the law firm was organized in 1984. One of the distinguishing characteristics ofNG&N is its extensive representation of Florida local governments and the historicalparticipation by its attorneys in shaping Florida local government statutory and case law. Suchexperience began with the creation of the constitutional and statutory home rule powers ofcounties and municipalities in the 1968 constitutional revision as further implemented bygeneral law in the early 1970s. This experience and historical perspective is unparalleled in anyother law firm.Any firm can identify problems for clients. While our current workload is busy, Mr. Dion has the time and interest to stepseamlessly into the City Attorney role/ and one of our strengths is our depth ofattorneys to help.• NG&N warrants and represents that at all times during the term of the Agreementthat the Firm will maintain in good standing all required licenses, certifications andResponse to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 4 permits required under federal, state and local laws necessary to perform the servicesas City Attorney.Firm BackgrQundNG&N maintains offices in Fort Lauderdale, Tallahassee, and Tampa. The Firm currentlyhas 21 attorneys/ is divided into the following practice areas: Local Government Law; Litigationand Appellate Law, Employment Law, Land Use and Real Estate Law, Public Utilities Law, PublicFinance, and Special Project Financing. NG&N has 15 partners/ 5 associates and one attorney ofcounsel.The firm has designated one of our shareholders, Edward A. Dion, as our attorney withprincipal responsibility for serving the City's needs. As described below, Lynn M. Hoshihara willbe his primary backup. Additionally, Robert L. Nabors, Gregory T. Stewart, Junious D. Brown,Heath R. Stokley, Kerry A. Parsons, Evan J. Rosenthal, and Carly J, Schrader would be availableto handle specific matters on an as needed basis. L. Thomas Giblin, Ritesh S. Patel and Steven E.Miller will serve as bond counsel to the City. These resources ensure the City receives thenecessary depth and breadth of coverage that smaller firms may be lacking.Attached as Appendix B are resumes, affiliations, and certifications for the aboveattorneys who will be providing legal services to the City. Mr. Dion resides in Davie, works inthe Fort Lauderdale office of the Firm and will be available 24 hours a day/ 7 days a week to theMayor/ City Commission members. City Manager, and the City staff. In the event he isunavailable for any reason, Ms. Hoshihara will serve in his stead.Attached as Appendix A is a list of government entities represented by NG&N. The Cityis free to contact any of NG&N's clients for a reference. NG&N has experience in all aspects oflocal government law, including comprehensive planning and land use, home rule, statutoryand constitutional interpretation/ ordinance, resolution and contract drafting, tort liability,ethics/ public records and sunshine law compliance, appellate and litigation, real estate andland use, interlocal cooperation and governance, utilities, budgets, tax and finance.We pride ourselves on our responsiveness to our clients' needs and our growing list ofgovernmental clients in the State attests to this commitment. NG&N is equipped with state-of-the-art telephone/ word processing, document scanning, reproduction and facsimiletransmission equipment and operators. Offices of the firm also have access to LexisNexisresearch and internet access to transmit documents via e-mail.During the past ten years, no attorneys in the Firm have had ethics complaints filedagainst them or been subject to disciplinary proceedings.No judgments have been entered against either NG&N or any of its attorneys. In 2017,Mr. Dion was named as a defendant in a matter before the Circuit Court of the SeventeenthResponse to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 5 Judicial Circuit in and for Broward County/ Florida, in Josue Hernandez, individually v. City ofHallandale Beach, a Florida municipal corporation, Edward Alexander Dion, individually, andVennie Lynn Whitfield, individually. Case No. CACE15021372. The dispute in this matterinvolved the representation of the City of Hallandale Beach and a former police officer of theCity, arising out of a traffic stop. The matter was tried in the United States District Court of theSouthern District of Florida/ CASE NO. 12-CV-61175-WILLIAMS/SELTZER, and the jury found infavor of the plaintiff that on his claims for false arrest, malicious prosecution, excessive forceand battery against Mr. Hernandez and for the City on the remaining claims. Thereafter,plaintiff filed a Motion for Attorney's Fees and Costs, which Mr. Dion defended on behalf of theCity and Mr. Hernandez. The City thereafter took the position that it was not liable forattorney's fees because the jury had found that Mr. Hernandez violated the plaintiff's civilrights. Mr. Dion immediately moved to withdraw due the conflict of interest and that motionwas immediately granted. Mr. Hernandez subsequently filed an action against the City, Mr.Dion and the City Attorney, claiming malpractice. All issues in the case have been released andthe case has been dismissed.NG&N's malpractice coverage is as follows:Lawyers Professional Liability Insurance Policy No.B0146LDUSA 1804839Insured Name and Address: Nabors, Giblin & Nickerson/ P.A.2502 Rocky Point Drive, Suite 1060Tampa Florida/ 33607Period of Insurance - November 1, 2018 - November 1, 2019Limit of Liability:a. $5,000,000 Each Claim Including Claims Expenses.b. $5/000/000 Aggregate for the Period of Insurance, including Claims Expenses.Deductible: $75,000 Per ClaimPROJECT APPROACH AND UNDERSTANDINGThe remainder of our proposal will detail NG&N's understanding of the role of legalcounsel to the City, our approach to fulfilling its duties/ and our experience in providing theseservices in the following six main practice areas: (1) General Representation in LocalGovernment Law; (2) Contracts, Procurement and Commercial Practice; (3) Transactional andFinancial Practice; (4) Land Use, Real Estate and Environmental Practice; (5) Labor andEmployment Practice; and (6) Litigation and Appellate Practice.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 6 General Representation in Local Government LawThe primary responsibility of legal counsel to the City is to represent the CityCommission, the City Manager and City staff and advise them all in legal matters affecting theCity. Such general representation includes attendance at all regular Commission meetings,workshops and special meetings, routine legal consultation with the City Commission, CityManager and City staff and the preparation of ordinances, resolutions/ contracts and other legaldocuments. The main job of legal counsel to the City is to protect the City's legal interests andprovide wise legal guidance. In performing these duties, it is imperative that the City Attorneybe available and responsive to the City's needs. By marshalling our firm's legal resources, NG&Nwould accord the City with top priority and strive to provide a quick and professional responseto all the City's needs.As indicated above, NG&N is actively involved in all aspects of representation ofgovernmental entities, including drafting ordinances and resolutions, drafting legislation, riskmanagement, taxation, assessments, public-private partnerships and the myriad of other issuesunique to local governments, and has substantial experience in providing the generalrepresentation referenced above.Members of NG&N/ including Mr. Dion and Ms. Hoshihara, regularly provide round tableindividualized workshops for specific governments, in which attorneys from the firm sit downwith department heads, management and elected officials to discuss important issues faced bythat government and to look for creative solutions to their problems. Members of the firm arefrequently called upon to prepare ordinances and resolutions associated with special projects,utility rates, user fees, bond financings, and interlocal agreements. NG&N's wealth ofknowledge in drafting ordinances and resolutions would be put to use in servicing the City ofSunny Isles Beach as the City's legal counsel.In addition, members of NG&N are also frequent lecturers at continuing educationseminars on issues of local government law sponsored by the Florida Bar and other localgovernment law organizations. NG&N also regularly sponsors and presents seminars aroundthe State regarding local government finance and tax which are regularly attended by city andcounty managers, city and county attorneys, department heads, elected officials and financeprofessionals.NG&N's experience in consulting with and advising local government officials and staffwould be employed in providing legal advice to members of the City Commission, the CityManager and City staff.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 7 Sunshine Law, Public Records and EthicsThe City's legal counsel must provide regular advice to the members of the CityCommission, City Manager and City staff on Florida's Government in the Sunshine, PublicRecords and Ethics laws.Our attorneys are called upon often to address issues relating specifically to the powersand prohibitions of governmental bodies and the individuals serving on them. In this role,NG&N has provided advice to numerous clients on issues relating to those state laws. Forexample/ in Collier County, we were retained to represent the County during investigationsrelated to allegations of unethical behavior brought against a member of the Board of CountyCommissioners. NG&N provided St. Johns County with advice concerning whether the policiesand practices utilized in the issuance of bonds complied with the open meeting requirements ofthe Sunshine Law and whether a proposed procedural mechanism under consideration wouldcomply with Sunshine Law mandates.In our role as special counsel to the Florida Housing Finance Corporation, Mr. Brownattends monthly Board meetings and renders legal advice on the various laws related toconflicts of interest, gifts, public records, Government in the Sunshine and ethics applicable tothat organization.Mr. Dion recently served as counsel to the Ethics Subcommittee of the Broward CountyCharter Review Commission and provided legal advice regarding the Broward County Code ofEthics.Finally, firm members have lectured extensively on the Sunshine Law and Florida'sPublic Records Act, Chapter 119, Florida Statutes, before government officials, attorneys andstaff. NG&N attorneys are prepared to advise the Mayor, the City Commission, the CityManager and staff on issues relating to these important topics.Land Use, Real Estate and Environmental PracticeAs the chief legal advisor to the City/ the legal counsel must be well versed in all aspectsof land use, real estate and environmental law. The City's legal counsel must work with theMayor/ City Commission, City Manager, City staff and its agencies to maintain the quality of lifefor City residents and the City's natural resources in the face of significant demands fromgrowth and development.In this regard, the City's legal counsel must assist the City in developing, implementingand enforcing land use and environmental regulations, code enforcement regulations andcompliance, reviewing zoning and rezoning requests, negotiating developer agreements andproviding development review. The City's legal counsel must also provide legal assistance to theCity's Planning and Zoning Board and the City's Code Enforcement Board.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page 18 NG&N has a broad range of experience in land use issues and real estate mattersrepresenting governmental entities in various aspects of real estate development and financing.The firm maintains an active practice in the area of land use law. NG&N representsgovernmental entities throughout the State of Florida on matters brought contesting thevalidity of their actions relating to the use of property, including federal constitutional claims/eminent domain proceedings, construction disputes and actions for inverse condemnation.NG&N has also represented clients in defense of claims brought under the Bert J. Harris, Jr.Private Property Rights Protection Act, and claims alleging violations of local governmentcomprehensive plans and in hearings seeking the approval of proposed comprehensive planamendments.NG&N also has extensive experience representing governmental entities in real estatematters including the acquisition/development and financing of real property for publicfinancing projects. Mr. Dion has extensive experience in real estate transactions and hasparticipated in hundreds of real estate closings. NG&N represents borrowers and creditors incommercial lending transactions, negotiating land use restriction agreements, mortgages/environmental indemnity agreements, credit agreements and other traditional lendingdocuments as well as reviewing title and other real estate matters.Code EnforcementHaving served as general local government counsel to a variety of local governmentclients, NGN has substantial experience in code enforcement, including serving as counsel tocode enforcement boards, helping to develop and draft codes, serving as counsel during codeenforcement hearings/ dealing with code enforcement violation and enforcement, etc. Both Mr.Dion and Ms. Hoshihara have participated and advised clients in connection with many codeenforcement board meetings.UtilitiesThe City's legal counsel must also be prepared to address issues relating to theestablishment, regulation and operation of public and private utilities operating within theCity's municipal boundaries. NG&N has a utility practice which provides regular representationto utility authorities, such as the Florida Governmental Utility Authority/ Tampa Bay Water, andthe City of Sunrise, on day-to-day operations, rate setting and connection policies. NG&Nprovides legal guidance in the creation of government-owned water and wastewater utilitysystems including situations in which a government has entered the utility business throughacquisitions of investor-owned utilities. NG&N has also assisted local governments in theregulation of privately-owned utilities operating within their borders. Finally, NG&N possesses ademonstrated expertise in the development and implementation of legally defensible waterand wastewater developer agreements, refundable advance agreements, connection fees,special assessments and other techniques which may be used to grow a government's utilitybusiness.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page / 9 Labor and Employment Law PracticeIn its representation of the City, the City's legal counsel will necessarily face issuesinvolving employment law, human rights, whistleblower complaints, workers' compensation/and collective bargaining. The City's legal counsel must be equipped to providepreventative/risk management oriented advice to the City in the areas of personnel policies,benefit issues, collective bargaining, union contracts/ HIPAA, and employee discipline. The City'slegal counsel must also be able to defend the City in all labor and employment related matters.As a result of NG&N's commitment to a wide variety of legal services to localgovernment, we have had the opportunity to provide representation and counsel to numerousgovernmental entities throughout the State of Florida on labor and employment issues. In ourrepresentation of local governments, we always seek to take a proactive view of issues andproblems which face governmental entities. Nowhere is this more important that in the area ofemployment and labor, including civil rights. The approach which we have utilized in ourrepresentation involves three separate and distinct aspects.The first is to anticipate potential problems which local governments may face relatingto employment and labor law issues. NG&N, on behalf of our county and city clients/ has hands-on experience in reviewing and drafting personnel policies and plans and providing interpretiveguidance to staff in numerous employment and labor issues. This is primarily addressedthrough the review of existing policies, pay plans and other relevant documents to determinewhether potential amendments should be adopted which would aid staff in administeringemployment and labor matters in a consistent and lawful manner.Second, we recognize that problems in the employment area arise frequently andgenerally need to be addressed in an expedited manner. In this regard, we provide severalexperienced attorneys who are available to respond to any inquiries that the City might haveconcerning a potential problem relating to an employment or labor matter. We have beencalled upon to address numerous issues relating to disciplinary actions, claims of sexualharassment/ racial and gender discrimination, fair labor standards issues/ including wages,overtime and coverage-related problems; and implementation of Americans With DisabilitiesAct and Family and Medical Leave Act requirements. In fact, Mr. Dion previously served asgeneral counsel to the Florida Department of Labor and Employment Security and NG&N hasserved as general counsel to the Florida Developmental Disabilities Council on all matters,including labor and employment.Further, we have been involved, both directly and through the provision of legal advice,in the investigation of numerous claims made against governmental entities. We recognize thatin this unique area of the law, the actions that are taken by the governmental entity in theinitial phases of the process may direct how a matter is ultimately resolved many months later.Therefore, the importance of providing quick and accurate guidance to the City to address theparticular problem which the City may face is crucial to our effective representation.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page I 10 Finally/ as is detailed below in the discussion of our Litigation and Appellate lawexperience/ in the event litigation ensues, we have vast experience on a wide variety ofemployment litigation matters.ForfeitureNGN, including specifically Mr. Dion in his prior representation of the Broward CountySheriff, has experience in forfeiture actions.Transactional and Financial PracticeThe City's legal counsel must provide the City with sound advice and assistance inassociation with City budgeting, finances, and issues involving the acquisition of real andpersonal property. These services cover a wide range of issues touching on ad valorem taxation,budgeting, special revenue sources, state tax sources, bonds, condemnation/ and purchasing orreal and personal property.NG&N is often called upon by our local government clients to provide advice andassistance with a myriad of financial issues. NG&N is one of the leading public finance firms inthe State of Florida. In fact, we have literally written the book on local government finance, andyou will most likely find a copy of our "Primer on Home Rule & Local Government RevenueSources" in every county and most city offices within the State of Florida. Our attorneysroutinely provide advice on state tax law, ad valorem taxation, sales taxes, motor fuel taxes andalternative revenue sources.NG&N was a pioneer in the development of special assessments as a home rule revenuesource for Florida counties and municipalities. Beginning with the Florida Supreme Courtdecision in City of Boca Raton v. State, 595 So.2d 25 (Fla. 1992) (which held that home rulepowers were an alternative to general law provisions as the authority to impose specialassessments) and continuing through Lake County v. Water Oak Management Corp., 696 So.2d667 (Fla. 1997) (which found the distinction between those services capable of being fundedthrough special assessments from those required to be funded from taxes), NG&N has forgedthe development of the special assessment concept. NG&N has developed a reputation throughout the Stateof Florida for providing innovative solutions for complex financing problems. Over the last fiveyears, we have served as bond counsel in approximately 600 financings with an approximateaggregate bond amount of $18.4 billion. During such period of time, we have also served asDisclosure Counsel in approximately 180 transactions with an aggregate principal amount ofapproximately $19.8 billion and as underwriter's counsel in approximately 100 transactionswith an aggregate principal amount of approximately $5.3 billion. These services cover a wide range of issues related to public works/community services, and operational management of the City, including commercial andbusiness law services related to contracts and their performance, public procurement/ andspecial forms of agreements available to cities, such as interlocal agreements, and licenseagreements.The City's legal counsel must review/ revise and draft contracts with public and privatesector entities, including documents for the construction of public facilities and infrastructure,as well as consulting/ engineering, and other agreements for professional services. Additionally,the City's legal counsel must review all real property leases, licenses, and concessions, a varietyof vendor agreements, franchise agreements, and other contractual relationships between theCity and other governmental entities.NG&N has demonstrated experience in all aspects of contract, procurement, andcommercial law. Similarly, NG&N attorneys have vast experience with franchises, licenses/ andother contractual arrangements. For example, we recently assisted both Levy County andNassau County with solid waste franchise and licensing issues. Similarly/ NG&N has successfullycompleted numerous land acquisitions and sales on behalf of our clients/ including the draftingand negotiating of the purchase and sale agreements, the drafting of all necessary assettransfer instruments and the provision of title insurance. Finally, NG&N has a demonstratedexperience in drafting developer agreements, service agreements and other public contracts.Response to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page I 12 Litigation and Appellate LawAlthough we believe that the City's legal counsel should strive in its representation ofthe City to avoid litigation/ this is not always possible and the City's legal counsel will inevitablyneed to represent the City in administrative proceedings and litigation in federal and statecourt. These judicial proceedings will involve public ethics and open meetings/ public records,land use, commercial litigation, eminent domain, employment litigation, personal injurydefense/ discrimination claims/ and finance and tax matters.NG&N has an active litigation and appellate practice and represents governmentalentities on a wide variety of issues. The primary areas of focus are litigation relating to tax andfinance issues, labor and employment law, Sunshine and ethics law, and land use and realestate matters.These include claims in state and federal courts and before various state administrativeforums involving wrongful termination, violation of collective bargaining agreements, claimsrelating to discrimination and violations of the Americans with Disabilities Act. We have alsobeen involved in litigation dealing with alleged violations of various employment-relatedconstitutional rights. Several attorneys who will be assigned responsibility for representation ofthe City have extensive experience in all phases of representation.Attorneys in the firm have lectured extensively on issues such as employment at will,the Family and Medical Leave Act, age discrimination/ the Americans With Disabilities Act, TitleVII and other discrimination laws, and minority contracting and set-asides. Additionally,NG&N's Litigation and Appellate Law Section has successfully defended various localgovernmental entities in Sunshine Law litigation. For example, firm lawyers defended NassauCounty's Commissioners in Hoshall v. Nassau County, et al., Case No. 98-974-CA (4 JudicialCircuit), a suit claiming that Sunshine Law violations should negate a contract entered by thecounty to design and build its new courthouse annex and force Commissioners to repay moneysalready expended for that structure. Through NG&N/s efforts, the county prevailed, both at trialand on appeal.As described above/ NG&N has been at the forefront in developing and defendingalternative government revenue sources. NG&N has represented local governmentsthroughout the State of Florida in disputes over the validity of impact fees, special assessmentsand the implementation and funding of a variety of services and improvements throughmunicipal services taxing and benefit units. We have also been actively involved in therepresentation of local governments relating to redevelopment areas and the use of incrementfinancing. As a firm that has been engaged in local government litigation for almost fortyyears, we have tried cases ranging from impact fee challenges to ad valorem tax disputes tolocal government suits against the State to alleged Sunshine Law violations to contract claims toconstruction-related matters to personnel issues—it literally runs the entire gamut of localgovernment issues. While we don't keep a specific tally of wins versus losses (some cases areResponse to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page I 13 overturned on appeal, many are settled), we can represent to the City that our winningpercentage is extremely high. The City will be proud to have us in their corner on any litigationto which the City might become involved.Short-term RentalsWe know that the City, like many Florida local governments, has been dealing with theissue of short-term rentals. The Firm recently assisted Flagler County in the preparation of theirshort-term regulation ordinance and successfully defended the ordinance through a legalchallenge. That experience could prove very valuable to the City in its ongoing deliberation ofthis issue.Our Approach to Legal ServicesNG&N proposes to provide legal services to the City by means of a contractualrelationship. Our approach to serving local government entities/ including municipalities/ is thatwe represent the City, not the Mayor or individual City Commission Members, the City Manageror staff. Our job is to provide exceptional and professional legal advice, both in terms of theapplication of the law to a given set of circumstances, but also in identifying "potholes" or areaswhere, if no corrective action is taken, legal liability or damage to the City's interest couldresult. We take this responsibility and are the City's advocate, but we also recognize that ourrole is neither to develop policy or implement it, and we take great pains not to overstep ourbounds as the City's legal counsel. In our past and current experience we have worked wellwith all parties, including elected officials and staff, by providing only professional legal adviceand not taking "sides" in policy or implementation disputes. Our objective as the City's legalcounsel is to provide timely and competent legal advice to the City, to keep (to the best of ourability) the City from incurring liability, and to vigorously and aggressively defend the City whenits interests are threatened. If we do our job, others are better able to do their jobs, and we cansave the City time and money that otherwise would have to be spent on non-productivematters. For example, we believe NG&N, by helping to legally restructure Okaloosa County'stourism development efforts after a prior director embezzled funds/ helped save our clienthundreds of thousands of dollars. Likewise, our efforts on behalf of Flagler County in the shortterm rentals issues described above we believe helped preserve substantial funds that could bedirected to governmental purposes. If selected we will work closely with the Mayor, the CityCommission, the City Manager and the City staff to further the City's interests. While we arenot a "go-between", we've found in other circumstances that we can help bridge differencessimply by pointing out the legal obstacles or likely outcomes if certain actions are taken. Wetake pride in our job and do it well.We need adequate information to appropriately provide legal counsel, but we'regenerally effective in getting what we need. For instance/ we need to be fully informed aboutall aspects of litigation matters in order to effectively represent the City in litigation. We haven'tResponse to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page I 14 found this to be a problem in other jurisdictions, and will try to be clear and reasonable in ourrequests for what we need and when.As indicated above, our entire approach to practicing law is to be proactive. If we caneliminate unfavorable provisions in contracts, avoid unnecessary litigation, foresee future legalimpediments and create less problematic legal pathways, we have enhanced the ability of theCity to provide cost-effective services to its citizens, which is why it exists. The key to this isspotting potential problems early, whether they be personnel actions that could lead tolawsuits, antiquated local regulations that will lead to claims against the City, or just the failureto think through what the future legal consequences of an action might be. We have similar feestructures to that proposed for the City with a number of other governmental clients, includingWakulla County and Okaloosa County, and have been able to stay within budget almost everyyear. Much of the key in remaining within budget is in keeping an eye on total amounts,communication with the client and early identification of large issues which might stress theapproved budget. If we observe threatened litigation or another event that would likely sendthe City Attorney's office over budget, it is our job to notify the Commission and come up with aproposed solution, either by means of saving money in another area, delaying certain activitiesor requesting consideration of a budget amendment.Other Municipal and Governmental ClientsAs indicated above, see Appendix A for a list of current NG&N City and local governmentclients.QUALIFICATION INFORMATION AND ASSIGNED PERSONNELResumes and Qualifications of Principal LawyersAs indicated above, Edward Dion will be NG&N's primary attorney representing the City,assisted by Ms. Hoshihara and the other attorneys referenced above. Mr. Dion and Ms.Hoshihara's resumes, as well as other key players for NG&N, are attached hereto as AppendixB. Mr. Dion previously served as the county attorney for Broward County/ during which heattended weekly board meetings, prepared agenda items, reviewed and negotiated contractswith vendors, consultants, landowners, developers and other entities and generally providedany legal advice required, including, but not limited to issues relating to ethics, public records/government in the sunshine, bidding and procurement. He also served as general counsel to theBroward County Sheriff. More recently, he served as special counsel to the City of Sunrise,attending several meetings during the process of hiring the city attorney and reviewing theterms of the contract with the new city attorney on behalf of the City.In the event Mr. Dion is unavailable, Lynn M. Hoshihara would serve in his stead. Ms.Hoshihara previously served as the county attorney for Walton County and provided the fullrange of services required of an in-house county attorney, including, but not limited to, theResponse to the City of Sunny Isles Beach, Florida RFP No. 19-02-01 Page I 15 following practice areas: contracts and torts, procurement and purchasing/ constitutional law/employment and labor/ public law, litigation and appellate, land use, planning andenvironmental, real estate and legislative. Ms. Hoshihara currently serves as general counsel tothe Florida E-Filing Authority, Florida Local Government Investment Trust and the GulfConsortium. Ms. Hoshihara has past and present experience providing the full gamut ofgeneral counsel services and would bring a clear understanding of the issues and needs facingthe City.Neither Mr. Dion nor Ms. Hoshihara have any prior scheduled commitments that wouldconflict with the City's regularly scheduled meetings. In the event such scheduling conflictarises, we will coordinate with the Mayor and City staff in advance to accommodate the City'sneeds.Conflicts of InterestNG&N generally only represents governmental entities/ so that we do not anticipate anyconflicts of interest or ethical considerations related to our representation of or our affiliationwith any boards, organizations, committees or clients. Although we are a local government lawfirm, we do not serve as the city attorney for any other municipalities in Miami-Dade Countyand therefore do not anticipate any conflicts of interest with our other governmental clients.If it does, the Firm will seek a waiver of the conflict and will otherwise act in accordance withthe Florida Bar's Rules of Professional Responsibility.Local Business Tax/Occupational License(s)Mr. Dion currently maintains local business tax/occupational licenses for the City of FortLauderdale and for Broward County, which are attached as Appendix 0. If necessary, Mr. Dionwill obtain a local business tax/occupational license in Miami-Dade County.Proposed Fee ScheduleNG&N will strive to provide top quality representation to the City of Sunny Isles Beach atan economic price. In order to remove uncertainty as to the types of legal services included andprovide ease of budgeting, NG&N proposes a lump sum annual retainer arrangement with theCity. NG&N proposes an annual retainer in the amount of $120/000, which would be payable intwelve equal monthly installments. This retainer would cover all general representation of theCity. The scope of general representation provided would include the representation of theCity Commission at all meetings and workshops, the provision of legal advice and guidance tothe Mayor, the City Commission/ the City Manager and City staff, and preparation ofordinances, resolutions and opinions. Litigation in any State or Federal court/ representation of the City beforethe Division of Administrative Hearings, Equal Employment Opportunity Commission, FloridaCommission on Human Relations, Unemployment Compensation Commission, or other State,Federal or local administrative proceeding, would be compensated on an hourly basis at thefollowing rates:Partners $225.00 per hourAssociates $170.00 per hourClerks/Paralegals $ 65.00 per hourB. Special Projects or activities which would require more than ten (10)hours of attorney time would be charged at the above hourly rates. Prior to commencing suchProject, NG&N would notify the City that the Special Project would exceed ten (10) hours andreceive prior authorization. This would include matters which because of the nature of theSpecial Project, an extraordinary amount of effort would be required. An example of thesetypes of Special Projects would be the substantial revision of the Purchasing Manual or LandDevelopment Code.C, Development and implementation of Revenue Programs, such as aspecial assessment, impact fee or other home rule revenue sources which would be negotiatedon a project-by-project basis.D. Municipal bond or bank financing, which would be negotiated on atransaction-by-transaction basis.NG&N will not charge the City for travel time or travel-related costs to the City. NG&Nwill be reimbursed for actual costs incurred on other travel, in conformity with Chapter 112,Florida Statutes. The temis for invoicing on thosematters shall be determined as part of the project negotiations.3.6 No invoice will be processed without the executed task order, purchase order orcontract/lease payment approval form approved by the respective County official(s). Noinvoice will be approved unless a copy of the actual invoice from the vendor accompanies theinvoice reflecting the acquisition ofgoods/services.3.7 No advancement of funds will be paid unless specifically approved by the Boardof County Commissioners.3.8 In the event a portion of an invoice submitted to the County for payment to NGN,as specified above, is disputed, payment for the disputed amount may be withheld pendingresolution of the dispute, and the remaiader of the invoice(s) will be processed for paymentwithout regard to that portion which is in dispute.ARTICLE IV. TERM AND TERMINATION.4.1 The term of this Agreement shall be from April 1, 2014 through M:arch 31, 2015,unless terminated earlier pursuant to the provisions of this Agreement. This Agreement may beextended, upon mutual written agreement of the parties, for additional one (1) year terms or anyother extension agreed to by the parties in writing.4.2 Termination Without Cause. The County may terminate this Agreement withoutcause by giving written notice to NON of its intent to termmate this Agreement. This Agreement may be terminated by the County ifthere is a material breach of this Agreement which is not cured within twenty (20) days after thereceipt of written notice of the breach. To the fullest extent permitted by law, NGN shallindemnify and hold the County hamiless, its officers and employees from Liabilities, damages,losses, and costs includmg but not limited to reasonable attorney fees, to the extent caused by thenegligence, recklessness, or intentional wrongful conduct of the NON and other personsemployed or utilized by the NGN in the performance of this Agreement.10.5 Goveming Law and Venue. This Agreement shall be governed by the laws of theState of Florida. Venue for all legal actions necessary to enforce this agreement shall be inOkaloosa County, Florida. 10.6 Entire Agreement. The foregomg terms and conditions constitite the entu-eagreement between the parties hereto and any representation not contamed herein shall be nulland void and of no force or effect. This Agreement supersedes all prior and contemporaneousagreements, understandings, negotiations, and discussions of the parties, whether oral or written,pertaining to the subject matter hereof.
