COVER LETTER AND EXECUTIVE SUMMARY 4 COVER LETTER COVER LETTER AND EXECUTIVE SUMMARY Greenspoon Marder LLP (the “Firm”) is pleased to submit this Response to the City of Sunny Isles Beach’s (the “City”) advertisement to provide professional legal services. We are qualified to serve as the City’s Attorney because of the breadth and depth of our knowledge and experience in municipal law. Our government and government relations attorneys represent, and have represented, a broad cross-section of public sector clients, including: Florida counties, villages, cities, towns, and school districts; the Florida Department of Transportation; and other governmental boards and commissions. Our attorneys have also held or hold elective office at the Municipal and Legislative level, and we have represented clients at all levels of government, in front of Courts, and at the Municipal, County, Legislative, and State Agency level. We have also represented many individual municipal officials. Our proposal is for Mr. Joseph S. Geller, Esq., to be the lead City attorney, with a team of attorneys from our Government and Government Relations Division and others to assist him in providing legal services to the City. Mr. Geller and his team propose to serve as contracted legal counsel and provide all legal services traditionally provided by the City Attorney’s Office. For any matter that requires specialized legal assistance, Mr. Geller will draw on specialists in the Firm who practice in those areas of law, or, where desired or necessary, outside counsel. We positively affirm that Mr. Geller and his team can perform the work required in an efficient and timely manner, and that we received no addenda to the RFQ. Mr. Geller is authorized by the Firm, as a Partner, to make representations on behalf of the Firm. Geller has practiced law for over 35 years, including over 20 years providing service as a municipal attorney to Florida municipalities. He has been the principal attorney for five (5) different municipalities and has assisted many others. His service in elected office, his long career as an attorney with multiple concentrations, and his extensive municipal experience for many entities combine with his reputation for fairness, integrity and good judgment to enable him to help the City of Sunny Isles Beach to achieve its goals. Mr. Geller is currently in his third term serving in the Florida House of Representatives, representing District 100, having been elected in November 2014, and re-elected without opposition in November 2016, and again in November 2018. Perhaps more importantly, Mr. Geller served as Mayor of the City of North Bay Village, having been elected in November 2004, and re-elected without opposition in November 2006. This service as a municipal elected official gives Mr. Geller a unique insight into the functioning of municipal government. In addition, his legislative service has given him special insight and ability in legislative interpretation. Also, a recent addition to our firm is Mayor Francis Suarez of the City of Miami, who has extensive experience in local government. Due to confidentiality agreements and privacy concerns the firm is unable to provide a list of malpractice claims and/or ethics complaints for our 200+ attorneys. PROJECT APPROACH AND UNDERSTANDING 7 COVER LETTER As to the approach to providing legal services, the proposal herein submitted is for general counsel services, in a contractual relationship between the City and Greenspoon Marder. In providing legal services, it is important to recognize that a City Attorney has many functions. The City Commission selects the City Attorney, and the City Attorney is primarily responsible to the City Commission and its members to assist them in properly performing their duties and responsibilities to the citizens. At the same time, on a day-to- day basis, the City Attorney also represents the City Administration, headed of course by the City Manager. It is important that employees of the City, from the City Manager through to line service personnel, are provided with timely and accurate information as to their legal duties and responsibilities, so that those duties and responsibilities can be performed in an efficient and effective manner. The City Attorney must be available to all of the officials and staff of the City to enable them to assist the citizens of the City of Sunny Isles Beach in having government meet their needs. The City Attorney and the City Manager must have a collaborative relationship where both parties can rely upon each other to help the Mayor and City Commission achieve their goals for the City. Regular communication, consultation and trust are essential to this relationship. It is important to remember that the role of the City Attorney, both in relationship to the Manager and staff, and even more so in relationship to the Mayor and City Commission, is that of advisor and facilitator. While the Manager is a decision-maker, in matters of administration, and the Mayor and City Commission are decision-makers, in deciding the policies which the City will follow and the goals it will seek to achieve on behalf of the citizens, the City Attorney is principally a counselor to the decision-makers, notwithstanding his direct responsibility in the areas of his own authority. It may be said that, while the decision-makers, the elected officials and Manager (within his authority), decide what is to be done, the role of the City Attorney is to advise them how to do what they want to do, both as to the dictates of the law and as to practical methods of achieving their goals. It is not enough to identify potential problems; the City Attorney must be a proactive problem solver, identifying not just challenges, but specific methods of overcoming those problems to achieve the results that will allow the City to move forward. The City Attorney must always be mindful that it is the Mayor and City Commission who have been selected by their neighbors to improve the quality of life of the citizens of the City. It is the Mayor and City Commission who have knocked on the doors and attended the citizen's forums and neighborhood meetings to learn what is on the minds of their fellow citizens. It is the Mayor and City Commission who have been entrusted by their neighbors with the responsibility of making decisions on difficult and complex issues which are vital to the future of Sunny Isles Beach. As someone who has sat on both sides of the dais, as attorney and as Mayor, the proposed lead counsel, Joseph S. Geller, is keenly aware of this division of authority, and of the responsibility of the City Attorney to assist the Mayor and City Commission in keeping their commitments to their fellow citizens, and in achieving their goals to make Sunny Isles Beach an even greater place to live, work and play. It is contemplated that Joseph S. Geller would attend all meetings of the City Commission, other meetings requested by the Mayor, Commissioners and the City Manager, and otherwise attend at such meetings and events as would normally be attended by a City Attorney for the good of the City. In addition, as set forth above, the lead attorney would be available by mobile phone and email on a 24/7 basis in the event of an emergency, or if the need should arise. Additionally, we would contemplate meeting with current legal staff to discuss all pending matters. The Firm is open to reaching an agreement with current legal staff to help provide coverage to the City on a weekly basis, and for continuity in ongoing legal work. For instance, in a past case in one of the municipalities represented by the firm, the firm was able to respond to an emergency situation with eight different attorneys assisting on an urgent matter, for a period of approximately one week. The range of areas of expertise, from real estate to contracts to land use and planning to litigation, as well as others, allows the firm to handle most eventualities without the need to contact or retain outside counsel. In addition, a contractual relationship provides the City with the additional benefits of enhanced independence of judgment, which helps the City by protecting the independence of the legal opinions with which it is furnished. While the Firm does not anticipate substantial need for outside counsel, it may prove advantageous to the City to continue certain existing relationships in particular matters or areas of specialization. Proposed organization chart: 9 COVER LETTER We are pleased to provide a proposal for legal services to the City at what we believe are substantial savings compared to the current legal services budget. If the City chooses to have all legal services provided pursuant to the mandatory hourly rate option, then the Firm proposes to provide such services at an hourly rate of $250 per hour. Alternatively, the firm would propose a monthly retainer in the amount of $50,000 for general City Attorney services, or $600,000 annually. We would contemplate a six month trial period as it is difficult to predict the actual volume of services to be required. In addition, we are also willing and able to provide, if that is the City’s preference, such services as Risk Management, Labor Relations and Litigation at a discounted rate of $250 per hour. Specialized services such as municipal bond services and public finance would be negotiated separately. The retainer would cover most general counsel services to be provided, except as set forth herein. Should it be found during the six month review period that the City relies in part on outside counsel to provide substantial assistance, or that the proposed retainer does not align with the level of services required, then the monthly retainer amount would need to be renegotiated depending on the scope and frequency of work that is found to be needed. Geller focuses his practice on civil litigation, administrative law, election law, government relations, municipal law and land use and zoning. He has extensive litigation experience in both the Florida and federal courts. Mr. Geller was elected to the State House of Representatives, District 100, representing parts of Northeast Dade and Southeast Broward, in November, 2014 and was reelected without opposition in November, 2016 and again in November, 2018. He was previously elected as Mayor of North Bay Village in 2004 and was reelected in 2006 serving until 2008. Mr. Geller is also the former long-time Chair of the Miami-Dade County Democratic Party. Additionally, Mr. Geller served as the Village Attorney for the Village of El Portal for many years. He also previously served as City Attorney for the City of Opa-Locka. He is the former Town Attorney for the Town of Miami Lakes and the Town of Golden Beach and former City Attorney for the City of North Bay Village. Mr. Wherry also represents vendors pursuing government procurement contracts, providing clients with guidance through the entirety of the process. Prior to becoming a lawyer, Mr. Wherry worked for over 15 years as a business consultant in the United States, Japan, Philippines, Korea, and throughout the Caribbean, including Bermuda, providing strategic advisory services in areas of corporate development, business process improvement, and restructuring. Mr. Wherry is designated by the U.S. Green Building Council as a LEED AP for his knowledge and understanding of environmentally sustainable land development practices. He is also an adjunct professor at Florida Atlantic University’s graduate-level School of Public Administration, lecturing in administrative law and public ethics. As a law student, Mr. Wherry’s writing earned him a place on the staff of the Akron Law Review, serving for two years as an editor, first as Assistant Editor then as Associate Editor. As Editor-in-Chief of the Akron Journal of Technology Transfer , Mr. Wherry’s organizational and lobbying efforts secured charter approval, initial university funding, and a grant of facilities to establish a publication that today has evolved into the notable Akron Intellectual Property Law Journal. Successfully represented the hospital in an application seeking land use and zoning approvals to permit a 25-year redevelopment and expansion program of the hospital’s main campus located in Miami-Dade County's Schenley Park neighborhood. In addition, he has represented the hospital in the development of several pediatric urgent care centers throughout South Florida. Mr. Lynn has developed several sub-specialties within this commercial real estate practice including the acquisition and sale of apartment complexes, office buildings, industrial developments and medical centers, lender representation, negotiation of construction contracts with contractors and architects, and the representation of landlords and tenants in office building, shopping center and warehouse leasing. Mr. Lynn also represents developers in obtaining zoning and land use approvals for large planned unit developments and commercial projects.
