Statement of any malpractice claims and/or ethics complaints taken against your firm or firm's attorney(s) over the last five years and the status or outcomes of such action. Indicate whether any action is pending or is currently under review by the State Ethics Board. There have been isolated cases where The Florida Bar was required to make inquiry of GrayRobinson attorneys regarding alleged grievances or complaints. The firm has seen these inquiries end with no determinations made in favor of the complainants or a finding of probable cause and thus those inquiries are dismissed. 4. Describe malpractice insurance coverage: carrier, limits, and exemptions. GrayRobinson maintains insurance coverage and limits detailed in the Request f or Proposal document as evidenced by current certificates of coverage found on the following pages. Project Approach & Understanding This section shall define the services the firm is proposing to the City that will best meet the criteria specified in the Scope of Services. State the Firm’s project management plan, interpretation of the scope, and technical method of approach. In addition, provide a description of innovative concepts proposed to enhance value, quality, and to control cost and schedule. Please keep in mind, upon request, the consultant may be asked to attend selected day or night meetings at the City of Sunny Isles Beach. Provide a proposed transition approach and/or strategy for handling current cases or legal matters. Project Management Plan In representations such as those contemplated by this RFP, GrayRobinson implements a team approach designed to maximize communication and responsiveness without over-staffing. As your primary point of contact, Tom will handle oversight of the work done for the City of Sunny Isles Beach and will ensure the overall delivery of satisfaction and value. In addition to Tom, we have identified additional attorneys to serve on the team based on their practice focus, identified as shown below. These team members will be in regular contact with Tom about work done on behalf of the City of Sunny Isles Beach, and we will align our client service approach including billing, reporting and communication strategies to the preferences of the City. We believe this team approach will allow us to provide high quality legal services, maintain the flexibility necessary to respond swiftly and thoroughly, and facilitate communication and accountability. We have served as general counsel and/or special counsel to numerous cities, counties, and public agencies. We have also represented hundreds of clients before governmental entities relating to everything from bidder's protests to complex entitlement and zoning matters, and successfully lobbied at all levels of government. GrayRobinson attorneys currently serve as city attorney to over a dozen municipalities, and special districts; general counsel to the Florida Citrus Commission; and counsel to the Florida House of Representatives with regard to reapportionment issues. Our attorneys also provide specialized legal counsel to a number of government agencies throughout the state, including the Department of Management Services on employee benefits issues and have represented the State's largest and oldest private children's services agency in negotiating and contracting with the state in the current privatization of child protection services. We have decades of experience in lobbying the Florida Legislature and state agencies, both offensively and defensively, on behalf of public and private entities. Many of our public law attorneys began their careers as staff to the Florida Legislature, Governor's Office and State agencies, providing our clients with a unique perspective on the most efficient means of meeting their legislative goals. We maintain close relationships with local delegations and political leadership. • Procurement. We provide legal counsel relating to all aspects of procurement, including assistance in the preparation of bids, RFP's and proposals; contract negotiation; bid protests; appellate review and contract disputes. • Public Finance and Taxation. With respect to public finance and taxation, we have represented issuers and underwriters in a variety of local government financings, including dependent and independent special districts. The Firm developed these skills initially while serving as the Orange County Attorney during the 70s and 80s. Since that time, the Firm has represented governments, businesses and individuals in thousands of federal, state and local matters. Technical Approach As mentioned, GrayRobinson will implement a team approach designed to maximize communication and responsiveness without over-staffing. To the extent a legal matter might require the assistance of other GrayRobinson team members listed in this Response, we believe our team approach will allow us to accomplish three critical objectives in representing the County: (1) provide quality legal services; (2) maintain the flexibility necessary to respond to problems swiftly and thoroughly; and (3) facilitate communication and accountability. To assure this, before any new work is undertaken, workloads and schedules of all attorneys and support staff on our team are reviewed. The Extranet allows our attorneys and clients the opportunity to communicate and collaborate in a secure environment. 12 City of Sunny Isles Beach RFP No. 19-02-01 March 4, 2019 In addition, GrayRobinson attorneys set performance measurements and metrics based on each client’s specific needs and requirements. Not all clients are alike and we will provide counsel and support in the manner requested by the City. As part of any initial orientation meeting with the City, Tom Loffredo will discuss performance and reporting metrics will be set which will measure the satisfaction of the City moving forward. We will monitor and measure our performance as it relates to the overall client relationship through regular client satisfaction discussions and “off-the-clock” performance meetings between City representatives and GrayRobinson attorneys. Cost Proposal As noted in Section 2.4, Basis of Compensation, the City requests the Proposer submit a proposal for compensation, which should include, but is not limited to: a monthly retainer fee option, an hourly rate option, or a combination of these options. The hourly rate option is mandatory. The firm must outline the following compensation fees with their response: 1. Firm must include their monthly retainer/fixed fee cap for general services with an explanation of what it covers. GrayRobinson proposes a monthly retainer of $10,000, to include providing on-call guidance to the City Manager, Commission, and City staff on a variety of legal issues including, but not limited to, all areas as noted in Section 3.2 and 3.3 of the Request for Proposal. This also includes attendance at City Commission meetings and special sessions. 2. Plus hourly fees for litigation or specialized services. The hourly rate quoted shall include all salary and compensation, and all overhead expenses, profits and other employee costs including but not limited to clerical and word processing expenses. Proposers must indicate what costs and expenses they proposed to bill in addition to the hourly rate, and the basis for the charges for such expenses, e.g. the basis for any internal reproduction charges, facsimile charges. $250 for Shareholders $225 for Senior Associates $175 for Associates $125 for Paralegals In addition to our hourly rate, out-of-pocket expenses would generally include such items as travel, parking, postage, filing, recording, certification, and registration fees charged by governmental bodies. Other charges typically include such items as toll calls, facsimile transmissions, scanning charges, overnight courier services, certain charges for computer research and complex document production, and charges for copying and scanning materials sent to you or third parties or required for our use. Some such costs, including computer searches, computer generated documents, long distance telephone calls and faxes, may include an administrative fee charged by the Firm, as determined by the Firm from time to time. 13 City of Sunny Isles Beach RFP No. 19-02-01 March 4, 2019 The firm shall identify the personnel and resources to be provided under a monthly lump sum amount for general city attorney services. Services not included in the monthly lup sum would include representation in any litigation matters that arise during our representation, as noted on the previous page. In this instance, we propose charging our hourly rate: $250 for Shareholders $225 for Senior Associates $175 for Associates $125 for Paralegals We are committed to a cost effective approach by assembling the correct blend of highly qualified attorneys who will be called upon according to their talents to provide legal services to the City. Our experience is that billing arrangements, procedures, level of billing detail, and timeliness of billing are important to our clients. To that end, we will work diligently with the City to ensure a “no surprises” relationship, by creating an array of billing arrangements that best serve the City. Scheduling Our representation of the City would be of the highest priority to GrayRobinson team members. Upon assignment, team lead Tom Loffredo will promptly handle its timely completion, ensure the quality of the completed work product, and ensure that the City has ample communication with GrayRobinson during the assignment. We can assure the City that completing requests promptly and efficiently, while maintaining the quality of our work, will always be a priority. All other members of the team are available on an as-needed basis depending on the size and nature of the assignment. Transition Approach Tom Loffredo’s experience and relationships with City leadership and staff allow for a seamless transition once cases are assigned, thereby maintaining the efficiency of the City’s efforts. 14 City of Sunny Isles Beach RFP No. 19-02-01 March 4, 2019 Finanical Stability GrayRobinson is annually recognized on a state and national level for its financial performance (by American Lawyer) and its annual growth (by the National Law Journal). Since GrayRobinson is a privately owned corporation it does not release its financial statements. He is a commercial litigator whose practice has a specific emphasis on employment and labor matters on behalf of management and corporate clients, banking and finance litigation, appellate practice and class-action litigation. Tom’s employment and labor practice involves representation of clients in litigation and arbitrations, as well as before the Equal Employment Opportunity Commission and various state and local agencies, concerning matters arising under Title VII of the Civil Rights Act of 1964, the Age Discrimination in Employment Act, the Americans with Disabilities Act, the Fair Labor Standards Act, and other federal, state and local anti- discrimination and employment statutes as well as common-law claims. He represents employers in business tort claims and in enforcing noncompetition agreements.
