A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, RATIFYING A FIRST AMENDMENT TO THE AGREEMENT WITH JORDA ENTERPRISES, INC. FOR NEW HVAC CHILLER SYSTEMS FOR THE GOVERNMENT CENTER; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on September 15, 2016, the City issued and advertised Invitation to Bid ("ITB") No. 16-09-02 for New HVAC Chiller Systems for the Government Center, and received six (6) bids; WHEREAS, the City Manager, based on information provided by staff, determined that Jorda Enterprises, Inc. submitted the lowest responsible, responsive bid; and WHEREAS, on March 16, 2017, via Resolution No. 2017-2675 the City Commission awarded ITB No. 16-09-02 to, and authorize the City Manager to negotiate and enter into an Agreement with, Jorda Enterprises, Inc. for the New HVAC Chiller Systems for the Government Center, in an amount not to exceed $774,050.00; and WHEREAS, on September 1, 2017; during the summer recess, the City Manager executed a First Amendment to the Agreement with Jorda Enterprises, Inc. for new HVAC Chiller Systems for the Government Center to include monthly inspection services in an amount which did not exceed $21,580.00; and WHEREAS, the City Commission now wishes to ratify the First Amendment to the Agreement with Jorda Enterprises, Inc. for new HVAC Chiller Systems for the Government Center, in an amount not to exceed Twenty-One Thousand Five Hundred Eighty Dollars ($21,580.00), attached hereto as Exhibit"A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Ratification of First Amendment. The City Commission hereby ratifies the First Amendment to the Agreement with Jorda Enterprises, Inc. for new HVAC Chiller Systems for the Government Center, in an amount not to exceed Twenty-One Thousand Five Hundred Eighty Dollars ($21,580.00), attached hereto as Exhibit"A". Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 3. Effective Date. D/B/A JORDA MECHANICAL CONTRACTOR ("Contractor") executed this f day of.$.2e 33Lg , 2017, is made a part of the original Agreement ("Agreement")between the parties dated March 16, 2017, Contract No. C4288-050 ("the Agreement''), between the City and Contractor attached hereto as Exhibit "B", whose Federal Identification #is 59- 2340702. The City and Contractor hereby agree as follows: 1. ADDITIONAL SERVICES. The City hereby wishes to amend Section 2 of the original Agreement ("Services") to include (12) monthly inspection routines to begin September 1, 2017 and ,,.,ending one year thereafter ("Additional Services"), as more particularly described in Attachment"A", which is attached hereto and incorporated herein by reference. 2. ADDITIONAL COMPENSATION. The Parties wish to amend Section 4 of the original Agreement ("Compensation") to include Additional Compensation for the Additional Services in an amount not to exceed Twenty One Thousand Five Hundred and Eighty Dollars($21,580.00),bringing the total contract amount not to exceed Seven Hundred Ninety Five Thousand Six Hundred Thirty Dollars ($795,630.00),as more particularly described in Exhibit"A",which is attached hereto and incorporated herein by reference. 3. OTHER PROVISIONS REMAIN IN EFFECT: Except as specifically modified herein, all terms and conditions of the original Agreement between the parties, dated March 16, 2017,shall remain in full force and effect. • 4. CONFLICTING PROVISIONS: The terms, statements, requirements, and provisions contained in this First Amendment shall prevail and be given superior effect and priority over any conflicting or inconsistent term,statement,requirement or provision contained in any other document or attachment,including but not limited to Exhibits"A"and"B". Renewal: renewal is to be automatic, and with no new deposit needed, for a period of a year. Cancellation: this contract can be cancelled with a 30 day prior cancellation notice from the customer, or from the company. Filters: Jorda mechanical will Furnish and replace all filters for all Units specified on Equipment List . Record: Jorda mechanical will supply our customers with'a monthly field report from the technician performing the inspection at your home or building. This will include reports for pumps, cooling towers, chillers, and, main air moving equipment, recorded data will include amperage, temperature and pressures of all equipment. • 1 • EXHIBIT"A" ,Air moving equipment: Inspection to include,cleaning of drain pan and drain line, check float switch operation, check wiring and look for loose or discolored connections, replace belt (if applicable)at preferred customer rates, inspect evaporator coil, inspect blower assembly, inspect and lubricate bearings and oil ports, inspect heater and heater operation. Evaporator coil cleaning is not included in this contract. ***Evaporato'rs on all five (5) Air handlers should be performed every year for optimum efficiency and Indoor Air quality. This wiiF b.e an additional $ 7,600.00.per year(To be performed after Hours) Thermostats: Inspect thermostat operation in all modes, inspect connections, check for proper level, and calibration check for loose mounting screws. Energy Management System: Jorda mechanical will check operation and make recommendations on EMS. Repairs, troubleshooting, calibration is not included In this agreement. Intake Fans,.Garage Fans, Smoke Evacuation Fans and Exhaust Fans Jorda Mechanical will inspect all these fans on a 6-month basis, record all operating data, lubricate moving parts as needed, inspect belts and bearings for, inspect electrical connections. We will replace belts and bearings at customer request and these items will charge separately. Hours of operation: Jorda's hours of operation are from 8:00 a.m. to 4:30 p.m. Monday thru Friday. All overtime hours or emergency service will be charged at time and one half our regular rates,emergency service will be charged at time and one half our regular rates. Holidays are also considered overtime and will be charged at time and one half of our regular hourly charge. Our labor charges are as follow: $95.00 per hour for a service technician, $65,00 per hour for helper labor and $140.00 per hour for supervisor. • Evaporator and Condenser cleaning: Jorda mechanical does not include coil cleaning as part of this contract, but do offer these services to our customers at a preferred price under this contracts coverage. Testing:.Jorda mechanical offers oil sampling and refrigerant sampling at a preferred customer pricing under this contract. Disclaimers: • Agreement does not include anything other than mechanical machinery, nor does it include any labor for ductwork, insulation, hardware, coil cleanings, blower cleaning, external electrical, piping, crane service, or duties performed by other trades not covered under our license. • Agreement does not cover any major components or equipment parts, such as motors, gears reducers, VFD's, any parts needed will be quoted separately. • Building engineer will be instructed In the operation of equipment for optimal use. • Any additions, alterations, adjustments, or repairs made by others without or written consent shall terminate our obligation under this agreement. And will not be held responsible nor have any obligation hereunder for damages or charges associated with any service work performtd by-anotl-rer-trade:--•- --- -----...__..._._�_�__.._._._--._-— --- • Any repairs we deem necessary that will result an added cost are to be • authorized by the customer prior to commencement of work, and only • after receipt of written consent. • In the event there Is an equipment failure caused by an electrical problem, water problem, erosion, age or condition, acts of god, or any causes beyond our control, customer shall reimburse Jorda mechanical for the expenses incurred in making the service call and repairs in question. • • Injury to persons or cost associated With any damages to property due to delay in furnishing labor or materials for service or repair will not be the responsibility of Jorda mechanical, nor will Jorda mechanical be held 3 responsible for any consequential damages. • Any violation on part of the customer of any of the terms of this _ agreement, or nonpayment of bills rendered within 30 days of Invoicing shall be sufficient cause for Jorda mechanical to terminate this agreement. Customer agrees to pay Jorda mechanical and all attorney's fees, if required, and monies due upon cancelation of this contract. • e Water chemical treatment service and construction deficiencies are excluded from this contract. Note: this proposal Is good for 30 days from date above.
